Introduction 

The use of bridging financer has grown significantly, offering propriété developers, investors, and homeowners quick access to liquidity. However, because bridging loans feature short maturities and high interest rates, they also experience a high rate of default. When a borrower fails to exit the facility on time, bridging lenders typically bypass lengthy court channels and immediately appoint Fixed Charge or Law of Property Act (LPA) receivers to seize and sell the secured property. 

Historically, an operational paradox slowed down this enforcement route when dealing with owner-occupied properties. Under standard mortgage terms, receivers are legally designated as the agents of the borrower to protect the lender from liability. This created a difficult legal question: Comment un mandataire peut-il intenter une action contre son propre mandant pour obtenir la possession du bien immobilier ? 

L'affaire historique jugée par la Haute Cour dans l'affaire Menon c. Pask 2019 EWHC 2611 (Ch) a résolu ce dilemme de longue date.

To understand the importance of the Menon v Pask decision, it helps to review why lenders prefer using receivers in bridging disputes. 

When a borrower defaults on a bridging loan, the lender’s main goal is to recover their capital as quickly as possible. Selling a property with tenants or the owner still living inside reduces its market value and delays the transaction.

  • Exonération de responsabilité : Because the receiver acts as the borrower’s agent, the lender avoids being treated as a “mortgagee in possession,” shielding them from direct liabilities and accounting duties
  • Vitesse : Receivers can act quickly to manage, lease, or prepare the property for sale.  
  • Exécution spécialisée : Les liquidateurs sont généralement des professionnels de l'immobilier qui se consacrent exclusivement à optimiser le recouvrement des actifs. 

The system works smoothly for commercial or tenanted properties. However, if the borrowing individual ou developer refuses to move out of the property, receivers face immediate legal obstacles. 

Les faits et le “ paradoxe de l'agence ” dans Menon c. Pask 

En Menon c. Pask, Mr and Mrs Menon charged their résidentiel home in West London to assistance a business loan facility. When the facility defaulted, the lender appointed joint fixed charge receivers to take control of the asset. 

Because the Menons remained in the house, the receivers initiated possession proceedings in the County Court. Due to standard industry practices at the time, the claim was originally filed as: 

“ Menon et Menon, représentés par Pask et Goode en leur qualité de co-syndics chargés de la gestion des charges fixes… contre Menon et Menon. ” 

This meant the borrowers, via their legal agents, were technically suing themselves for possession. The Menons defended the action using two main arguments: 

  1. Le bar « Principal-Agent » : Un mandataire ne peut pas intenter une action contre son propre mandant pour obtenir la possession d'un bien immobilier dont ce dernier est propriétaire. 
  1. Absence de patrimoine propre : Receivers do not hold a legal estate or title in the land, meaning they lack a superior right of possession over the occupying owner. 

The County Court rejected these defences, prompting the borrowers to appeal to the High Court. 

La décision de la Haute Cour : efficacité commerciale et qualité pour agir 

Mr Justice Mann dismissed the borrowers’ appeal, establishing clear rules for modern receivership enforcement. The High Court resolved the dispute using two main legal concepts: 

Poursuivis en justice en leur nom propre 

The court held that filing a claim where the borrower effectively sues themselves is procedurally incorrect. Instead, receivers are entitled to bring possession proceedings against a borrower in their own names. This separation solves the procedural conflict while respecting the receiver’s statutory and contractual duties.

The court looked beyond strict agency rules to examine the commercial purpose of the underlying mortgage deed. Mr Justice Mann explained that the right of a receiver to take possession arises because: 

  • L'hypothèque confère explicitement au bénéficiaire le pouvoir de gérer, d'exploiter et de vendre le bien immobilier. 
  • Un bien immobilier ne peut être géré efficacement ni vendu à sa juste valeur que si le syndic de faillite parvient à obtenir la remise des lieux libres de toute occupation. 
  • Denying the receiver the right to evict an occupying borrower would make the security arrangement unworkable, contradicting basic business efficacy. 

The judgment confirmed that a receiver does not need a formal property estate to claim possession. They only need a contractually supported better right to possession than the borrower, which takes effect the moment the underlying security becomes enforceable. 

Une lueur d'espoir pour les emprunteurs : le pouvoir discrétionnaire prévu à l'article 36 

Alors que Menon c. Pask Tout en renforçant les possibilités offertes aux prêteurs, elle a également mis en place une protection essentielle pour les emprunteurs particuliers dans le cadre de prêts immobiliers résidentiels. 

Le tribunal a examiné si un emprunteur pouvait se fonder sur Article 36 de la loi de 1970 sur l'administration de la justice pour retarder ou suspendre une procédure d'expulsion engagée par un administrateur judiciaire. Historiquement, cette protection ne s'appliquait qu'aux actions intentées directement par un créancier hypothécaire (le prêteur). 

Mr Justice Mann ruled that Section 36 does apply to possession claims brought by receivers. The court decided that a receiver acts as a vehicle for enforcing the lender’s property rights. 

As a result, an individual residential borrower can ask the court to adjourn, suspend, or stay a possession order if they can demonstrate a realistic plan to pay off the loan or clear the arrears within a reasonable timeframe. 

Stratégies pratiques pour résoudre les litiges liés aux prêts relais 

Stratégies à l'intention des prêteurs et des créanciers 

  • Projet de clauses explicites relatives à la possession : Ensure loan agreements and legal charge documents explicitly state that the receiver has a direct right to take vacant possession from the mortgagor. 
  • Déposer correctement ses demandes d'indemnisation : Avoid the mistake of naming the borrower as the claimant “acting by” the receiver. Ensure the receivers launch the litigation using their own personal names. 
  • Préparez-vous aux plaidoiries relatives à l'article 36 : When dealing with residential properties or individual borrowers, prepare to challenge unrealistic repayment plans or unviable refinancing timelines raised by the defence. 

Stratégies à l'intention des emprunteurs et des garants 

  • Identifier les exonérations accordées aux entreprises : If the borrower is a corporate entity or limited company, Section 36 protection is unavailable. The focus must shift to challenging the validity of the receiver’s appointment or the accuracy of the default notice. 
  • Present Realistic Exit and Repayment Preuves: Pour obtenir un sursis au titre de l'article 36, les emprunteurs doivent présenter des preuves concrètes, telles qu'une offre de rachat officielle émanant d'un autre prestataire ou un contrat de vente en cours de validité et vérifié. 
  • Vérification des frais liés aux prêts : Check whether the default interest rates and administrative fees added by the bridging lender constitute an illegal penalty or create an unfair relationship under the Consumer Credit Act 1974. 

Résumé 

La décision rendue dans l'affaire Menon c. Pask concilie l'intérêt commercial et la protection des consommateurs dans le secteur du crédit relais. En résolvant le paradoxe de l'agence, il confirme que les liquidateurs peuvent poursuivre directement les emprunteurs occupant les biens afin d'en obtenir la restitution et de réaliser la garantie sous-jacente. 

At the same time, extending Section 36 protections to these actions ensure individual borrowers retain a legal tool to save their properties if they can present a viable financial exit. Navigating these disputes requires clear documentation, proper procedural filings, and an understanding of mortgage litigation.
