Experiencia

  • Deniz Oguzkanli was instructed by a major London-based wholesale company with a turnover exceeding £100 million in relation to the disposition and restructuring of a number of commercial properties valued at approximately £30 million.
  • The transaction formed part of a complex demerger process involving multiple professional advisers. As part of the demerger, several freehold and leasehold properties were transferred by way of inter-company disposals. The process also included the freehold sale and leaseback of a large distribution centre to an independent third party on an arm’s length basis. The property was sold for £14.8 million with a leaseback arrangement generating annual rent of over £1 million. The transaction also required the restructuring of a number of properties with existing lenders and proceeded following HMRC clearance. Various pre-transition arrangements, including inter-company agreements with strict commercial terms, were negotiated as part of the process.
  • Deniz Oguzkanli was instructed by an aviation company in connection with the acquisition of three new-build warehouses near Heathrow Airport.
  • The warehouses form part of a major regeneration development comprising over 2,200 residential dwellings and approximately 7,500 sqm of commercial space. The transaction involved reviewing and negotiating extensive planning, development, and construction documentation, including warranties and development agreements.
  • Given the scale of the development, numerous rights, reservations, easements, and restrictive covenants required detailed negotiation and agreement.
  • Deniz Oguzkanli was instructed by the UK subsidiary of an overseas listed company in relation to the acquisition of a number of investment properties in the UK.
  • He acted on the acquisition of a supermarket located in the West Country, involving the grant of a new leasehold interest within a larger building complex. Due to the nature of the development, a significant number of rights, reservations, service conduits, easements, and restrictive covenants required careful negotiation.
  • The acquisition formed part of a strategic asset acquisition programme as part of the client’s five-year UK investment plan. The transaction was completed within four weeks of formal instruction.
  • The firm continues to act for the company on further acquisitions.
  • Deniz Oguzkanli was instructed by the UK arm of an overseas listed company in connection with the acquisition of several UK investment properties.
  • He acted on the acquisition of a research centre in Cardiff from a local authority. The acquisition involved the grant of a new leasehold interest within a larger building complex. The property formed part of a phased development predominantly used by a higher education service provider.
  • As part of the transaction, additional works were undertaken by the seller, which were carefully negotiated and documented within the purchase arrangements.
  • This acquisition forms part of the client’s wider five-year investment strategy in the UK. The firm continues to represent the company on further acquisitions.
  • Deniz Oguzkanli is instructed by an overseas investor group in relation to the acquisition of a prime London site for £10 million from a trust fund owned by a national bank.
  • The transaction includes provisions relating to Transfer of a Going Concern (TOGC) treatment, capital allowances, and joint elections. The client, an international hospitality group operating a number of hotels overseas, is entering the UK commercial property market for the first time and is actively seeking further acquisitions, particularly for hotel development opportunities.
  • Situated in a prime London location, the acquisition marks the client’s entry into the UK market.
  • Deniz Oguzkanli continues to be instructed by the UK operation of an overseas group in connection with the acquisition of multiple commercial properties across the UK.
  • The portfolio includes hotels, restaurants, confectionery shops, and warehouses, forming part of the group’s wider UK expansion strategy.
  • The firm advises the client on all aspects of these acquisitions, including site purchases, the grant of new leases, planning considerations, and the fitting-out of premises.
  • Deniz Oguzkanli continues to act for a well-known Restaurant Group in London, a prominent chain, as part of its long-term expansion programme in the UK.
  • He has advised the group on the acquisition of several new restaurant sites across London and other parts of the UK, including most recently three new-build commercial premises in prime locations.
