Statutory Registers: A Shift in Where Records Are Kept<\/strong>&nbsp;<\/h2>\n\n\n\n<p>Every UK company is required by law to hold and&nbsp;maintain&nbsp;certain statutory registers. Historically, these registers were primarily&nbsp;maintained&nbsp;internally by the company, even though much of the same information was also filed at Companies House.&nbsp;<\/p>\n\n\n\n<p>From 18 November 2025, that position changed. They will need to provide further details explaining:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>the basis of the exemption; and\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>where their shares are traded, including the relevant regulated market.\u00a0<\/li>\n<\/ul>\n\n\n\n<p>The intention is to ensure that exemptions do not create opacity in the ownership.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>4. Restrictions on the use of corporate directors<\/strong>&nbsp;<\/h2>\n\n\n\n<p>Ownership transparency reforms are reinforced by tighter controls on corporate directors&nbsp;in line with changes to Companies House.&nbsp;<\/p>\n\n\n\n<p>Going forward:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>only UK corporate entities with legal personality may be appointed as corporate directors; and\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>the directors of those corporate directors must be natural persons whose identities are verified.\u00a0<\/li>\n<\/ul>\n\n\n\n<p>This significantly limits the use of layered corporate directorships and overseas entities to obscure control, and ties corporate appointments back to identifiable individuals subject to verification and accountability.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>5. Changes to Limited Partnerships<\/strong>&nbsp;<\/h2>\n\n\n\n<p>Alongside&nbsp;company\u2011focused&nbsp;reforms, the ECCTA introduces a major overhaul of the limited partnerships (LPs) regime, aimed at increasing transparency and preventing&nbsp;misuse. End of the Identity Verification Transition Period<\/strong>&nbsp;<\/h2>\n\n\n\n<p>A further major milestone in the Companies House reforms is the end of the identity verification (IDV) transition period, which spans late\u202f2025 into 2026 and has significant practical implications for directors, owners, and anyone filing information on behalf of a company.&nbsp;<\/p>\n\n\n\n<p>From 18\u202fNovember\u202f2025, Companies House introduced mandatory identity verification for:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>company directors,\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>people with significant control (PSCs), and\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>individuals who file information with Companies House.\u00a0<\/li>\n<\/ul>\n\n\n\n<p>Since that date, only verified individuals or Authorised Corporate Service Providers (ACSPs) have been&nbsp;permitted&nbsp;to&nbsp;submit&nbsp;filings. However, a transitional period applies to existing directors and PSCs to allow time for compliance.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>The transition period is expected to end in Autumn<\/strong><strong>\u202f<\/strong><strong>2026. By that point:<\/strong>&nbsp;<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>anyone who owns, runs, controls, or files on behalf of a company must have verified their identity; and\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>compliance and enforcement activity will begin in respect of individuals who have failed to do so.\u00a0<\/li>\n<\/ul>\n\n\n\n<p>Once the transition period ends, acting as a director or filing information without verification will&nbsp;constitute&nbsp;a breach of&nbsp;companies&nbsp;legislation and may lead to financial penalties.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Personal codes and confirmation statements<\/strong>&nbsp;<\/h3>\n\n\n\n<p>Once an individual successfully verifies their identity, Companies House issues a personal code, which is used to link that verified identity to one or more company roles.&nbsp;<\/p>\n\n\n\n<p>From 18\u202fNovember\u202f2025 onwards, companies are&nbsp;required, as part of the confirmation statement process, to:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>confirm that all directors have been\u00a0identity\u2011verified; and\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>include each director\u2019s personal code where\u00a0required.\u00a0<\/li>\n<\/ul>\n\n\n\n<p>This makes the confirmation statement a key enforcement mechanism for identity verification during and after the transition period.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Practical guidance for companies and directors<\/strong>&nbsp;<\/h3>\n\n\n\n<p>Early verification is strongly recommended to avoid&nbsp;last\u2011minute&nbsp;filing difficulties as confirmation statement deadlines&nbsp;approach;&nbsp;<\/p>\n\n\n\n<p>Companies that rely on external advisers for filings should ensure that:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>all directors and PSCs have completed ID verification,\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>personal codes have been provided to the relevant ACSP or filing agent, and\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>internal compliance records reflect verified status\u00a0as required by the registrar.\u00a0<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>7.
