Os empr\u00e9stimos-ponte s\u00e3o concebidos como op\u00e7\u00f5es de curto prazo e de liquidez r\u00e1pida. No entanto, as suas taxas de juro elevadas e prazos de vencimento r\u00edgidos significam que, se uma estrat\u00e9gia de sa\u00edda falhar, a situa\u00e7\u00e3o de incumprimento ocorre rapidamente.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ao contr\u00e1rio dos prestadores de cr\u00e9dito hipotec\u00e1rio tradicionais, os credores de cr\u00e9dito-ponte raramente esperam meses para negociar. Recorrem habitualmente a poderes contratuais para contornar totalmente os tribunais, nomeando administradores judiciais independentes para assumir o controlo, gerir e vender o im\u00f3vel dado em garantia.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Se \u00e9 um mutu\u00e1rio que se encontra nesta situa\u00e7\u00e3o, a sua primeira pergunta \u00e9 simples: Posso impedi-los?&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Compreender o poder do recetor&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Para contestar com sucesso a nomea\u00e7\u00e3o de um administrador judicial, \u00e9 necess\u00e1rio compreender, em primeiro lugar, o mecanismo jur\u00eddico subjacente \u00e0 sua nomea\u00e7\u00e3o. Nos termos de <a href=\"https:\/\/www.legislation.gov.uk\/ukpga\/Geo5\/15-16\/20\/section\/101\">Artigo 101.\u00ba da Lei sobre a Propriedade de 1925<\/a>, uma entidade credora adquire o poder legal de nomear um administrador judicial no momento em que o montante da hipoteca se torna exig\u00edvel. Em quase todas as escrituras de financiamento-ponte, o administrador \u00e9 designado contratualmente como agente do mutu\u00e1rio, e n\u00e3o do credor. Esta estrutura proporciona vantagens distintas ao credor:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Isen\u00e7\u00e3o de responsabilidade:<\/strong>\u00a0Uma vez que o administrador atua como seu representante, o credor n\u00e3o \u00e9 considerado um \u201ccredor hipotec\u00e1rio em posse\u201d, o que o protege dos riscos associados \u00e0 m\u00e1 gest\u00e3o do im\u00f3vel.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Autoridade imediata:<\/strong>\u00a0O administrador pode cobrar a renda e colocar o im\u00f3vel no mercado sem necessidade de aprova\u00e7\u00e3o pr\u00e9via do tribunal.\u00a0<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Contesta\u00e7\u00e3o da validade da nomea\u00e7\u00e3o\u00a0<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">A forma mais direta de impedir um administrador judicial \u00e9 provar que a sua nomea\u00e7\u00e3o era juridicamente inv\u00e1lida desde o in\u00edcio. Uma vez que a administra\u00e7\u00e3o judicial \u00e9 uma medida dr\u00e1stica, os credores t\u00eam de seguir procedimentos legais rigorosos. Qualquer falha processual pode invalidar a nomea\u00e7\u00e3o, tornando o administrador judicial um invasor da sua propriedade.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Falhas processuais comuns<\/strong>&nbsp;<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Aus\u00eancia de incumprimento t\u00e9cnico:<\/strong>\u00a0Um credor n\u00e3o pode nomear um administrador judicial, a menos que tenha ocorrido um \u201ccaso de incumprimento\u201d formal nos termos do contrato de empr\u00e9stimo. Se o credor alegar que n\u00e3o cumpriu um prazo, mas tiver provas documentais de uma prorroga\u00e7\u00e3o acordada contratualmente, a nomea\u00e7\u00e3o carece de fundamento jur\u00eddico.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Exig\u00eancias inv\u00e1lidas:<\/strong>\u00a0Alguns contratos de financiamento-ponte exigem que o credor emita uma notifica\u00e7\u00e3o formal de exig\u00eancia de reembolso, concedendo ao devedor um prazo de pr\u00e9-aviso espec\u00edfico antes de nomear um administrador judicial. Se o credor n\u00e3o tiver notificado corretamente essa exig\u00eancia, ou a tiver enviado para a morada errada, a nomea\u00e7\u00e3o pode ser contestada.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Execu\u00e7\u00e3o precipitada:<\/strong>\u00a0O poder legal de nomea\u00e7\u00e3o previsto na LPA de 1925 s\u00f3 surge quando o montante da hipoteca se torna exig\u00edvel\u00a0<em>e<\/em>\u00a0passa a ser exerc\u00edvel nos termos da Sec\u00e7\u00e3o 103 (por exemplo, se os juros estiverem em atraso h\u00e1 dois meses ou se tiver sido violada uma cl\u00e1usula contratual). Se o credor agir prematuramente, a nomea\u00e7\u00e3o \u00e9 inv\u00e1lida. \u00c9 prov\u00e1vel que o credor inclua disposi\u00e7\u00f5es na sua carta de cr\u00e9dito que estabele\u00e7am os fundamentos com base nos quais pode nomear administradores judiciais.\u00a0\u00a0<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Recorrer a medidas cautelares para impedir uma venda&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Em situa\u00e7\u00f5es em que os administradores judiciais est\u00e3o a tomar medidas para vender o seu bem abaixo do valor de mercado, os mutu\u00e1rios procuram frequentemente verificar se \u00e9 poss\u00edvel requerer ao Supremo Tribunal uma medida cautelar urgente.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>O equil\u00edbrio de conveni\u00eancia<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Para obter uma medida cautelar, a sua equipa jur\u00eddica deve convencer o tribunal em v\u00e1rios aspetos, nos termos do estabelecido&nbsp;<em>American Cyanamid<\/em>&nbsp;princ\u00edpios:&nbsp;<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li><strong>Quest\u00e3o s\u00e9ria a ser apreciada:<\/strong>\u00a0Deve demonstrar que existe um lit\u00edgio jur\u00eddico genu\u00edno relativamente \u00e0 d\u00edvida, ao incumprimento ou \u00e0 conduta do credor\/administrador da fal\u00eancia.\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"2\" class=\"wp-block-list\">\n<li><strong>A indemniza\u00e7\u00e3o \u00e9 insuficiente:<\/strong>\u00a0Deve provar que o facto de receber uma compensa\u00e7\u00e3o financeira posteriormente n\u00e3o ir\u00e1 compensar a perda do bem (isto \u00e9, por vezes, poss\u00edvel quando se trata de bens im\u00f3veis \u00fanicos ou de habita\u00e7\u00f5es pr\u00f3prias, mas cada caso depende das suas circunst\u00e2ncias espec\u00edficas).\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"3\" class=\"wp-block-list\">\n<li><strong>O equil\u00edbrio de conveni\u00eancia:<\/strong>\u00a0O tribunal pondera os preju\u00edzos que ir\u00e1 sofrer com uma venda imediata face ao risco para o credor caso a venda seja adiada.\u00a0<\/li>\n<\/ol>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>O obst\u00e1culo financeiro<\/strong>&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Os mutu\u00e1rios devem ter em conta que os tribunais mostram-se, em geral, relutantes em impedir um credor de executar a sua garantia, a menos que o mutu\u00e1rio deposite o montante em lit\u00edgio no tribunal. No entanto, pode ser concedida uma medida cautelar sem este requisito se for poss\u00edvel demonstrar a exist\u00eancia de fraude, um erro de c\u00e1lculo manifesto por parte do credor ou que o administrador judicial est\u00e1 a agir de m\u00e1-f\u00e9.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Implementa\u00e7\u00e3o do\u00a0<em><a href=\"https:\/\/uk.practicallaw.thomsonreuters.com\/w-022-3603?transitionType=Default&amp;contextData=(sc.Default)&amp;firstPage=true\">Menon contra Pask<\/a><\/em>\u00a0Defesa dos Propriet\u00e1rios\u00a0<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Se o empr\u00e9stimo-ponte tiver como garantia a sua habita\u00e7\u00e3o pr\u00f3pria, ou se residir nesse im\u00f3vel como propriet\u00e1rio-ocupante, a situa\u00e7\u00e3o muda.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">No caso hist\u00f3rico de&nbsp;<em>Menon contra Pask<\/em>, o Supremo Tribunal esclareceu a forma como os administradores judiciais devem lidar com os mutu\u00e1rios que ocupam os im\u00f3veis.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>A decis\u00e3o e a prote\u00e7\u00e3o prevista no artigo 36.\u00ba<\/strong>&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">O tribunal confirmou que, embora os administradores judiciais tenham o direito legal de intentar a\u00e7\u00f5es de reintegra\u00e7\u00e3o de posse contra os mutu\u00e1rios em seu pr\u00f3prio nome, os mutu\u00e1rios particulares de habita\u00e7\u00e3o podem proteger-se recorrendo a <a href=\"https:\/\/www.legislation.gov.uk\/ukpga\/1970\/31\/section\/36\">Artigo 36.\u00ba da Lei da Administra\u00e7\u00e3o da Justi\u00e7a de 1970.\u00a0<\/a><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Nos termos do artigo 36.\u00ba, um juiz tem o poder discricion\u00e1rio de adiar os processos de reintegra\u00e7\u00e3o de posse ou de suspender uma ordem de despejo, caso o mutu\u00e1rio consiga demonstrar que pode liquidar os pagamentos em atraso ou saldar o empr\u00e9stimo num \u201cprazo razo\u00e1vel\u201d.\u201d&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Para invocar com sucesso esta defesa contra um recetor de transi\u00e7\u00e3o, \u00e9 necess\u00e1rio apresentar ao juiz provas concretas e verific\u00e1veis, tais como:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Uma oferta de resgate formal e vinculativa apresentada por uma entidade de refinanciamento regulamentada.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Um contrato v\u00e1lido e assinado para a venda do ativo a um pre\u00e7o que cubra integralmente a d\u00edvida.\u00a0<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Contestar taxas ocultas e rela\u00e7\u00f5es desleais&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">As disputas relativas a empr\u00e9stimos-ponte raramente se centram apenas no montante principal; s\u00e3o frequentemente motivadas pela r\u00e1pida acumula\u00e7\u00e3o de juros de mora, comiss\u00f5es de rescis\u00e3o e encargos da linha de cr\u00e9dito. Se estes custos tornarem o reembolso imposs\u00edvel, pode contestar a estrutura subjacente da d\u00edvida.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Rela\u00e7\u00f5es desiguais (<a href=\"https:\/\/www.legislation.gov.uk\/ukpga\/1974\/39\/contents\">Lei do Cr\u00e9dito ao Consumidor de 1974<\/a>)<\/strong>\u00a0<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Nos termos da Sec\u00e7\u00e3o 140A da Lei do Cr\u00e9dito ao Consumidor de 1974, os tribunais disp\u00f5em de amplos poderes para reformular contratos de empr\u00e9stimo caso considerem que a rela\u00e7\u00e3o entre o credor e o mutu\u00e1rio \u00e9 abusiva. Esta prote\u00e7\u00e3o pode aplicar-se a empr\u00e9stimos-ponte comerciais se o mutu\u00e1rio for uma pessoa singular ou uma sociedade de pessoas. Entre os fatores que d\u00e3o origem a uma rela\u00e7\u00e3o abusiva incluem-se:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Empr\u00e9stimos abusivos:<\/strong>\u00a0Entidades credoras que concedem empr\u00e9stimos com a inten\u00e7\u00e3o expl\u00edcita de for\u00e7ar o incumprimento, a fim de apreender o bem imobili\u00e1rio (estrat\u00e9gias do tipo \u201cloan-to-own\u201d).\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Comiss\u00f5es n\u00e3o divulgadas:<\/strong>\u00a0Comiss\u00f5es ocultas pagas pela entidade credora ao corretor que lhe apresentou o empr\u00e9stimo.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Falta de transpar\u00eancia:<\/strong>\u00a0Execu\u00e7\u00e3o apressada, sem dar ao mutu\u00e1rio tempo para procurar aconselhamento jur\u00eddico independente.\u00a0<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Cl\u00e1usulas de penaliza\u00e7\u00e3o ilegais<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Na sequ\u00eancia da decis\u00e3o do Supremo Tribunal no processo&nbsp;<em>Cavendish Square Holding BV contra El Makdessi<\/em>, uma taxa de incumprimento n\u00e3o \u00e9 aplic\u00e1vel se for desmesurada, exorbitante ou se n\u00e3o tiver uma justifica\u00e7\u00e3o comercial leg\u00edtima. Se as taxas de incumprimento forem suprimidas, o incumprimento poder\u00e1 ser sanado, invalidando a liquida\u00e7\u00e3o judicial.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Medidas a tomar quando s\u00e3o nomeados administradores judiciais&nbsp;<\/strong>&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Os administradores judiciais agem rapidamente. Assim que forem nomeados, entrar\u00e3o em contacto com os seus inquilinos, seguradoras e agentes imobili\u00e1rios para assumir o controlo das receitas e da gest\u00e3o do bem.
