Unlike the company&#8217;s articles of association \u2014 which are a public document filed at Companies&nbsp;House&nbsp;and which&nbsp;establish&nbsp;the basic constitutional framework \u2014 a&nbsp;shareholders&nbsp;agreement is confidential and can deal with matters that go beyond what articles alone can provide.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A&nbsp;shareholders&nbsp;agreement typically&nbsp;covers:&nbsp;how the board of directors is constituted and what <a href=\"https:\/\/rfblegal.co.uk\/nl\/inzichten\/kunnen-bedrijven-met-een-directeur-en-modelstatuten-geldige-beslissingen-nemen\/\">decisions<\/a> require shareholder approval; what happens when shareholders want to leave or sell their shares; how disputes between shareholders are resolved; restrictions on competing with the <a href=\"https:\/\/rfblegal.co.uk\/nl\/inzichten\/vragen-en-antwoorden-over-zakelijke-contracten\/\">business<\/a>; dividend policy; and protection for minority shareholders.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Whether you need one depends on the nature of your shareholding structure. If you are the sole shareholder of your own company, a shareholders <a href=\"https:\/\/rfblegal.co.uk\/nl\/kennisbasis\/heb-ik-een-aandeelhoudersovereenkomst-nodig\/\">agreement<\/a> serves little purpose. However, if you are entering a joint <a href=\"https:\/\/rfblegal.co.uk\/nl\/kennisbasis\/wat-is-een-joint-venture-in-onroerend-goed\/\">venture<\/a>, taking on investment, <a href=\"https:\/\/rfblegal.co.uk\/nl\/inzichten\/de-belangrijkste-vereisten-voor-het-instellen-van-een-afgeleide-vordering\/\">bringing<\/a> in co-founders, or selling a minority stake in your business, a&nbsp;shareholders&nbsp;agreement is essential. The art is in calibrating the list so that investors are protected without the company being paralysed by the need to seek consent for routine decisions.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>V. In a venture between a founder and a financial <a href=\"https:\/\/rfblegal.co.uk\/nl\/kennisbasis\/visa-voor-investeerders-en-ondernemers\/\">investor<\/a>, more nuanced arrangements may be needed to account for the disparity in resources.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>V. Additionally, shareholders&nbsp;representing&nbsp;5% or more of the voting shares can requisition a general meeting under section 303 of the Companies Act 2006.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Contractuele waarborgen&nbsp;<\/strong>under a&nbsp;shareholders&nbsp;agreement can include reserved matters (described above), pre-emption rights on the issue of new shares, anti-dilution provisions, rights to appoint a director, information rights (the right to receive regular financial information <a href=\"https:\/\/rfblegal.co.uk\/nl\/over-ons\/\">about<\/a> the company), and drag-along \/ tag-along rights.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The most robust protection for a minority shareholder is a well-drafted shareholders agreement that specifically addresses the minority&#8217;s concerns. Statutory <a href=\"https:\/\/rfblegal.co.uk\/nl\/inzichten\/navigeren-in-aandeelhoudersgeschillen-een-gids-voor-preventieve-oplossingen-en-rechtsmiddelen\/\">remedies<\/a> are available as a backstop, but <a href=\"https:\/\/rfblegal.co.uk\/nl\/tag\/litigation-team-br\/\">litigation<\/a> under section 994 is expensive,&nbsp;time-consuming&nbsp;and uncertain in <a href=\"https:\/\/rfblegal.co.uk\/nl\/inzichten\/in-beroep-gaan-tegen-immigratie-en-asiel-hoe-wij-u-kunnen-helpen-het-gewenste-resultaat-te-krijgen\/\">outcome<\/a>.
