Het opstellen van een voorlopige overeenkomst helpt de partijen om zich te concentreren en vergemakkelijkt de onderhandelingen.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\">Zorgvuldigheid<\/h4>\n\n\n\n<p class=\"wp-block-paragraph\">Als verkoper moet u erop voorbereid zijn om gedetailleerde vragen te beantwoorden over het bedrijf, de bedrijfsvoering en de activa. Dit is vaak een tijdrovend proces, maar het is belangrijk dat de koper een duidelijk beeld krijgt van het bedrijf, zodat hij een weloverwogen beslissing kan nemen over het al dan niet doorgaan met de overname. Het due diligence-proces loopt vaak door terwijl er nog onderhandeld wordt over de aandelenkoopovereenkomst en de advocaat van de koper zal waarschijnlijk vervolgvragen hebben bij het doornemen van de verstrekte informatie.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\">Overeenkomst tot aankoop van aandelen<\/h4>\n\n\n\n<p class=\"wp-block-paragraph\">This is the primary document and is a <a href=\"https:\/\/rfblegal.co.uk\/nl\/inzichten\/een-gids-voor-een-afdwingbaar-contract-hoe-u-ervoor-zorgt-dat-uw-zakelijk-contract-juridisch-bindend-is\/\">legally binding<\/a> agreement which sets out the terms of the sale, including the sale price, adjustment mechanisms, warranties, <a href=\"https:\/\/rfblegal.co.uk\/nl\/inzichten\/garanties-en-schadeloosstellingen-in-koopovereenkomsten-van-aandelen\/\">indemnities<\/a>, en <a href=\"https:\/\/rfblegal.co.uk\/nl\/inzichten\/qa-restrictive-covenants\/\">restrictive<\/a> covenants on the seller.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\">Informatiebrief<\/h4>\n\n\n\n<p class=\"wp-block-paragraph\">Your solicitor will prepare a <a href=\"https:\/\/rfblegal.co.uk\/nl\/inzichten\/bevelen-tot-openbaarmaking\/\">disclosure<\/a> letter on your behalf, qualifying the warranties given in the SPA with statements and exceptions. In the letter, the seller can specify general and specific exceptions to the assurances made by you in the SPA, therefore limiting your liability. Na de afronding moeten er aangiften worden ingediend bij Companies House, onder meer met betrekking tot eventuele wijzigingen in het bestuur en de PSC\u2019s.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You should be cautious of any restrictions in place, for example <a href=\"https:\/\/rfblegal.co.uk\/nl\/diensten\/persoonlijk-recht\/werkgelegenheid\/beperkende-convenanten\/\">non-compete<\/a> clauses in the share purchase agreement which prevent you from taking certain actions. For example, not setting up a similar business in the area which the target company trades.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Uw advocaat kan u bij deze stappen begeleiden en zal praktische oplossingen voorstellen om de transactie af te ronden.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>5.  Risicobeheer<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Het doel van het opnemen van verkopersgaranties en -verklaringen in de aandelenkoopovereenkomst is doorgaans dat de koper een deel van het risico dat hij bij de aankoop van de aandelen loopt, weer bij de verkoper legt.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Als verkoper is het daarom van essentieel belang dat uw notaris dit risico zoveel mogelijk beperkt.
