Deze overeenkomsten bevatten steeds vaker earn-out-mechanismen, die weliswaar waardevol zijn, maar vaak leiden tot geschillen over de interpretatie en naleving ervan.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong><em>Wat zijn earn-outs in koopovereenkomsten voor aandelen?<\/em><\/strong>\u00a0<\/h2>\n\n\n\n<p>Earn-out bepalingen worden vaak opgenomen in SPA's om de belangen van kopers en verkopers op \u00e9\u00e9n lijn te brengen, vooral in gevallen waarin de verkopende aandeelhouder directeur blijft en na de verkoop voor het bedrijf blijft werken.&nbsp;<\/p>\n\n\n\n<p>Een earn-out structuur houdt meestal in dat de koper een vast bedrag betaalt bij voltooiing, met verdere betalingen die afhankelijk zijn van het behalen van vooraf gedefinieerde mijlpalen door het doelbedrijf. Deze mijlpalen hebben vaak betrekking op omzetdoelstellingen, EBITA-drempels of andere belangrijke prestatie-indicatoren (KPI's).&nbsp;<\/p>\n\n\n\n<p>Het opnemen van een earn-out clausule kan beide partijen ten goede komen door:&nbsp;<\/p>\n\n\n\n<p>(a) waarde teruggeven aan de verkoper als de doelonderneming haar doelstellingen overtreft, en&nbsp;<\/p>\n\n\n\n<p>(b) belanghebbenden van de verkoper stimuleren om betrokken te blijven bij en zich in te zetten voor de prestaties van het bedrijf, zelfs na de voltooiing van de verkoop.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong><em>Veelvoorkomende oorzaken van geschillen over earn-outs<\/em><\/strong>\u00a0<\/h2>\n\n\n\n<p>Geschillen over earn-outs zijn vaak het gevolg van een aantal gemeenschappelijke factoren:&nbsp;<\/p>\n\n\n\n<p><strong>Dubbelzinnigheid in de formulering:<\/strong> Vage of slecht gedefinieerde voorwaarden kunnen leiden tot onenigheid over de vraag of aan de voorwaarden van de earn-out bepaling is voldaan. Er ontstaan bijvoorbeeld vaak geschillen over de definitie van belangrijke financi\u00eble maatstaven, de te gebruiken boekhoudnormen en de specifieke methodologie voor het berekenen van de earn-out.&nbsp;<\/p>\n\n\n\n<p><strong>Operationele controle na voltooiing:<\/strong> Er kunnen ook geschillen ontstaan over de manier waarop het bedrijf na de overname wordt geleid. Verkopers kunnen aanvoeren dat de koper opzettelijk of nalatig acties heeft ondernomen - of heeft nagelaten deze te ondernemen - die het bereiken van de earnout-doelstellingen ondermijnen. Aan de andere kant kunnen kopers beweren dat hun managementbeslissingen, zelfs als ze de earn-out negatief be\u00efnvloeden, in hun recht staan en in het beste belang van het bedrijf zijn. Bijvoorbeeld, een belangrijke verandering in de bedrijfsstrategie van het bedrijf zou een impact kunnen hebben op de prestatiecijfers.&nbsp;<\/p>\n\n\n\n<p><strong>Geschillen over financi\u00eble verslaglegging:<\/strong> Omdat earn-outbetalingen vaak gekoppeld zijn aan financi\u00eble prestaties, ontstaan er onvermijdelijk geschillen over de financi\u00eble verslaglegging. Dit omvat zaken als opbrengsterkenning, kostentoerekening en aanpassingen voor buitengewone posten. Ruzies draaien vaak om de vraag of er onjuiste boekhoudkundige principes zijn toegepast, waardoor de prestaties van het bedrijf verkeerd zijn weergegeven.&nbsp;<\/p>\n\n\n\n<p><strong>Timing van earn-out betalingen:<\/strong> De timing van earn-outberekeningen en -betalingen is een ander twistpunt. Er kunnen geschillen ontstaan over wanneer de earn-out periode begint, hoe lang deze duurt en wanneer betalingen verschuldigd zijn.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong><em>Hoe geschillen over earn-outs vermijden<\/em><\/strong>\u00a0<\/h2>\n\n\n\n<p>Overweeg de volgende stappen om het risico op geschillen over earn-outs te beperken:&nbsp;<\/p>\n\n\n\n<p><strong>Duidelijk en nauwkeurig opstellen:<\/strong> Zorg ervoor dat de SPA duidelijk en gedetailleerd is opgesteld.
