Per decenni, la tempistica della nomina del curatore fallimentare rispetto al \u201cQuarter Day\u201d ha determinato se un locatore ricevesse il pagamento completo o nulla. Tuttavia, la giurisprudenza moderna e l\u2019Insolvency Act del 1986 hanno modificato il panorama verso un modello pi\u00f9 equo, di tipo \u201cpay-as-you-go\u201d, che tutela il diritto del locatore di essere pagato per l\u2019uso del proprio bene.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">1. Il caso che ha cambiato le regole del gioco nel 2014: Jervis contro Pillar Denton Ltd<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Il cambiamento pi\u00f9 significativo nel diritto immobiliare commerciale moderno \u00e8 derivato dalla sentenza della Corte d'Appello del 2014 nella causa Jervis contro Pillar Denton Ltd, comunemente nota come il caso Game Station. Prima di questa sentenza storica, il settore operava in base ai precedenti \u201ctutto o niente\u201d stabiliti nelle cause Goldacre e Luminar.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In base a quelle vecchie norme, se un inquilino veniva posto in amministrazione controllata anche solo un giorno dopo la scadenza trimestrale (quando l\u2019affitto doveva essere pagato in anticipo), l\u2019intero canone di affitto relativo ai tre mesi veniva classificato come debito \u201cpre-amministrazione\u201d. Ci\u00f2 significava che l'amministratore poteva legalmente continuare a svolgere l'attivit\u00e0 nei locali per il resto del trimestre senza pagare un solo centesimo di affitto, poich\u00e9 il debito era considerato un credito non garantito a bassa priorit\u00e0.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">La sentenza Game Station del 2014 ha smantellato questa \u201ctrappola degli affitti\u201d. La Corte d'Appello ha stabilito tre principi fondamentali per i rapporti tra locatori e locatari nel settore commerciale:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u00b7 Accantonamento giornaliero: l'affitto viene ora considerato come maturato giorno per giorno per il periodo specifico in cui un amministratore utilizza effettivamente l'immobile.<\/li>\n\n\n\n<li>Stato della spesa: qualsiasi canone di locazione sostenuto durante questo periodo di utilizzo viene classificato come \u201cspesa amministrativa\u201d. Si tratta di uno stato ad alta priorit\u00e0, il che significa che il locatore deve essere pagato prima delle commissioni dell'amministratore e prima dei pagamenti ai titolari di garanzie reali mobiliari.<\/li>\n\n\n\n<li>La fine delle strategie temporali: gli amministratori non possono pi\u00f9 scegliere il momento della nomina in modo da \u201capprofittare\u201d di un trimestre senza canone. Se utilizzano il negozio, l\u2019ufficio o il magazzino per vendere le azioni o cedere l\u2019azienda, devono pagare per tale privilegio in proporzione al periodo di utilizzo.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">2. Definizione di \u201cuso\u201d: quando si considera che l\u2019amministratore stia \u2018utilizzando\u2019 l\u2019immobile<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Un punto critico di controversia nei casi di insolvenza tra locatori e locatari commerciali pu\u00f2 talvolta sorgere in merito alla questione di definire esattamente cosa si intenda per \u201cuso\u201d da parte di un curatore fallimentare. Ci\u00f2 determina se l'affitto sia una spesa prioritaria o un debito non garantito potenzialmente privo di valore.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Poich\u00e9 il principio Lundy Granite stabilisce che l'affitto costituisce una spesa solo se l'immobile \u00e8 utilizzato a beneficio dell'amministrazione, i tribunali hanno dovuto tracciare una linea di demarcazione molto sottile, che viene sintetizzata di seguito:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Attivit\u00e0 commerciale: se l'amministratore tiene aperto il locale, assume personale e vende prodotti, ci\u00f2 verr\u00e0 probabilmente considerato un \u201cuso\u201d indiscutibile. L'affitto deve essere pagato per intero per ogni giorno in cui la cassa registra incassi.<\/li>\n\n\n\n<li>Deposito dei beni: anche se l'attivit\u00e0 \u00e8 \u201cchiusa\u201d al pubblico, l'utilizzo dei locali per immagazzinare impianti, macchinari o merce invenduta costituisce un vantaggio per i creditori. Non trasferendo la merce in un magazzino commerciale, l'amministratore fa risparmiare denaro alla massa fallimentare a spese del locatore. Pertanto, \u00e8 probabile che ci\u00f2 costituisca un \u201cutilizzo\u201d.\u201d<\/li>\n\n\n\n<li>La \u201csituazione di stallo\u201d: si tratta di un\u2019area potenzialmente grigia. Se un amministratore si limita a custodire le chiavi mentre decide se rinunciare al contratto di locazione o venderlo a terzi \u2013 ma l\u2019edificio \u00e8 fisicamente vuoto \u2013 potrebbe sostenere di non \u201cutilizzarlo\u201d. Tuttavia, se sta attivamente commercializzando il contratto di locazione come un bene di valore dell\u2019azienda, il locatore pu\u00f2 sostenere che questa \u201cdetenzione a scopo di vendita\u201d sia una forma di uso proficuo.<\/li>\n\n\n\n<li>Necessit\u00e0 ambientale o normativa: se l'amministratore deve mantenere il possesso dell'immobile per ottemperare ai requisiti assicurativi o alle autorizzazioni ambientali (come spesso accade nei contratti di locazione industriali), ci\u00f2 potrebbe potenzialmente essere considerato come \u201cuso\u201d.\u201d<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">3. Revoca della moratoria: riprendere il controllo<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Quando un locatario commerciale viene posto in amministrazione controllata, scatta automaticamente una \u201cmoratoria legale\u201d. Si tratta di un \u201cbarriera legale\u201d che impedisce ai locatori di intraprendere le consuete azioni esecutive, quali la confisca (cambio delle serrature) o il recupero dei canoni di locazione commerciali arretrati (CRAR).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Per superare questa situazione, il proprietario deve rivolgersi al tribunale per ottenere l'autorizzazione a revocare la moratoria. Si tratta di una manovra legale di grande rilevanza, in cui il tribunale deve trovare un \u201cequilibrio\u201d tra le esigenze dell'azienda in difficolt\u00e0 e i diritti del proprietario dell'immobile. Il tribunale valuta solitamente:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Finalit\u00e0 dell'amministrazione controllata: se l'amministratore \u00e8 in grado di dimostrare che escludere il creditore privilegiato \u00e8 essenziale per salvaguardare i posti di lavoro o per vendere l'azienda come entit\u00e0 operativa, il tribunale pu\u00f2 mantenere la moratoria.<\/li>\n\n\n\n<li>Danno per il locatore: se il locatore \u00e8 in grado di dimostrare che la moratoria sta causando un \u201cdanno sproporzionato\u201d \u2014 ad esempio, se ha un nuovo inquilino pronto a firmare un contratto di locazione a un canone pi\u00f9 elevato \u2014 \u00e8 pi\u00f9 probabile che il tribunale conceda l'autorizzazione alla rescissione del contratto.<\/li>\n\n\n\n<li>Mancato pagamento delle spese: \u00e8 fondamentale sottolineare che, se un amministratore utilizza i locali secondo le regole di Game Station ma non versa l\u2019affitto \u201cpay-as-you-go\u201d, il tribunale sar\u00e0 pi\u00f9 propenso a revocare la moratoria. La legge non consente a un amministratore di utilizzare gratuitamente la propriet\u00e0 del locatore mentre accumula una riserva di denaro per altri creditori.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">4. La realt\u00e0 strategica per i proprietari<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Affrontare questi aspetti specifici dell'insolvenza richiede un intervento immediato. Un locatore non pu\u00f2 permettersi di aspettare la prossima scadenza trimestrale. Deve esigere immediatamente una \u201cdichiarazione di utilizzo\u201d dal curatore fallimentare e, se il pagamento non viene effettuato, agire rapidamente per revocare la moratoria.
