If you require advice in relation to any such matters, please contact Saba Ahmed via e-mail at saba.ahmed@rfblegal.co.uk or telephone at 020 3961 3118.

Commercial disputes rarely begin in a courtroom.

More often, they begin with a missed payment, a difficult email, a disagreement over the interpretation of a contract, a shareholder falling out with the board, or one party deciding that it no longer wishes to perform an agreement on the terms originally contemplated.

At that stage, it can be tempting for a business to regard the problem as simply a commercial disagreement. Litigation, if it arises at all, is viewed as something for later. That approach can be costly.

The period before proceedings are issued can be one of the most important stages of a commercial dispute. Decisions made during those early weeks and months can affect the evidence available, the parties’ negotiating positions, the costs incurred and, ultimately, the prospects of success.

This is particularly relevant at a time when commercial litigation is becoming increasingly document-heavy and technologically complex. Businesses may hold relevant information across emails, messaging platforms, cloud storage, collaboration software and other digital systems. Artificial intelligence is also beginning to change how lawyers and clients identify, review and analyse large volumes of material.

At the same time, the courts are looking closely at whether the existing disclosure regime is sufficiently efficient and proportionate. The Disclosure Review Working Group is currently considering potential simplification of Practice Direction 57AD, following a survey which raised concerns about cost, complexity and the burden imposed by the current regime. Against that background, businesses should be thinking about disputes differently.

The question should not simply be: “Do we have a claim?” It should be: “What should we be doing now to put ourselves in the strongest commercial and legal position, whether or not the dispute ultimately reaches court?”

Recognising a dispute before it becomes a claim

The first challenge is identifying when an ordinary commercial disagreement has developed into a potential dispute.

Not every disagreement requires lawyers. Businesses negotiate, renegotiate and resolve problems every day. A supplier may be late. A customer may challenge an invoice. A joint venture partner may disagree with a proposed course of action.

The difficulty arises when the relationship begins to deteriorate and the parties’ respective positions become entrenched. There are often warning signs.

A counterparty may begin referring expressly to contractual rights or alleged breaches. Correspondence may become more formal. A party may reserve its rights, threaten termination, withhold payment or demand compensation. Meetings may become focused on what happened in the past rather than how the commercial relationship can move forward. At that point, obtaining legal advice does not necessarily mean starting litigation. In fact, early legal advice can have the opposite effect.

Understanding the legal position at an early stage can provide the clarity necessary to negotiate from an informed position. It may identify a contractual mechanism for resolving the problem, reveal a weakness in the other party’s position, or demonstrate that pursuing the dispute formally would not make commercial sense.

The important point is that a business should understand its position before the dispute dictates the strategy.

Evidence is not something to think about later

One of the most important early considerations is evidence.

In a commercial dispute, the documents surrounding the transaction may ultimately be as important as the contract itself. Emails between directors, messages exchanged by employees, board papers, meeting notes, financial records, draft agreements and internal reports can all become relevant.

Increasingly, those records may not sit neatly within a traditional document management system.

Commercial communications can take place through Microsoft Teams, WhatsApp, Slack, text messages and other platforms. Documents may be stored in cloud-based systems. Employees may use personal devices for business communications. Automated systems may create records or audit trails that did not exist in the same form a decade ago. This creates an obvious practical issue: if a dispute arises, businesses need to know what information exists and where it is held.

Parties to litigation have obligations concerning the preservation and disclosure of relevant documents. The existence of large quantities of data does not mean that everything should simply be collected and produced without thought. Conversely, the fact that information is inconvenient or commercially sensitive does not mean it can safely be ignored.

The earlier a business identifies a potential dispute, the easier it is to take sensible steps to preserve relevant material.

This is particularly important where employees are leaving, systems are being replaced, documents are routinely deleted, or a business is undergoing a corporate transaction.

A simple but important principle is therefore: Do not wait for proceedings to begin before thinking about evidence.

The AI question

Artificial intelligence adds a new dimension to this issue.

AI tools can potentially assist lawyers and businesses with the review and organisation of very large datasets. Used appropriately, technology can help identify patterns, categorise documents and make the review of large volumes of information more efficient.

But AI does not remove the need for judgement.

The judiciary’s current review of Practice Direction 57AD expressly considers the impact of developments in technology, including AI, on disclosure. The review follows a survey of legal-sector stakeholders in which the majority of respondents did not consider the current disclosure reforms to have been a success, with concerns including increased costs and burdens on the courts.

For businesses, the lesson is not simply that AI will make litigation cheaper. The more important point is that technology changes the nature of the evidence itself.

Businesses should be asking:

What systems contain potentially relevant information?

Who has access to those systems?

Are communications being retained?

Could relevant material be automatically deleted?

Has AI been used to create or alter documents?

Can the provenance of an electronic document be established?

What controls are in place around employees using AI tools for business purposes?

These questions are increasingly relevant to the preparation of a commercial dispute. They are also relevant before a dispute arises.

A business that has clear information-governance procedures and knows where its key records are held is likely to be in a much stronger position than one that has to reconstruct its records after relationships have broken down.

The contract is only the starting point

A commercial dispute will often turn on the wording of a contract. However, the contract should not be considered in isolation. A business should look at the wider commercial relationship and ask what rights and obligations actually matter to the dispute.

Are there termination provisions?

Is there a limitation of liability?

Are there indemnities?

Does the contract contain notice requirements?

Is there an escalation or dispute-resolution procedure?

Is arbitration required?

Which jurisdiction governs the agreement?

Are there guarantees or security arrangements?

Are there personal obligations owed by directors or shareholders?

These questions can materially change the strategy.

For example, a business may believe that its strongest argument is a claim for damages. In reality, the most valuable remedy may be an injunction, an order preventing certain conduct, enforcement of contractual rights, or a negotiated restructuring of the relationship.

Equally, a claim which appears legally strong may not be commercially worthwhile if the likely recovery is modest compared with the cost and management time required to pursue it. This is why commercial litigation requires more than simply identifying a cause of action. The legal merits are important, but they are one part of a wider assessment.

What does the business actually want?

One of the questions that should be asked at the outset is surprisingly simple: What is the desired outcome? The answer is not always “win the litigation”.

A business may want payment of an outstanding debt. It may want to continue working with the counterparty but on different terms. It may want a shareholder to exit. It may need to prevent confidential information from being disclosed. It may want compensation, an apology, the delivery of assets or documents, or simply certainty so that it can move forward. Those objectives should influence the litigation strategy.

A dispute involving a long-standing commercial relationship may require a different approach from a dispute with a former business partner where there is no realistic prospect of continuing the relationship..

Similarly, the approach to a dispute involving a valuable intellectual property right may be very different from one concerning a relatively small contractual payment.

The best legal strategy is therefore not necessarily the most aggressive one. Sometimes a carefully drafted letter will achieve more than an immediate application to court. Sometimes mediation will provide a quicker and more commercially useful solution. Sometimes urgent court intervention will be necessary.

The important thing is to make that decision deliberately rather than allowing the dispute to escalate by default.

Settlement is not a sign of weakness

There can be a tendency to regard settlement as an admission that a party did not have confidence in its case. That is not necessarily the right way to look at it. Commercial litigation is ultimately about risk, cost and outcome. Even a strong claim carries risks. Witness evidence may be challenged. Documents may be interpreted differently. Legal arguments may develop. Costs can increase. The management time required to deal with litigation can become significant.

A settlement can therefore be an effective commercial decision rather than a concession. Mediation, in particular, can provide an opportunity for parties to resolve a dispute confidentially and with greater flexibility than a court judgment may offer. The earlier the parties understand their respective positions, the more meaningful those discussions can become.

That does not mean that every dispute should be settled. There will be circumstances where a party needs to take a firm position and pursue proceedings. There may be cases involving urgent injunctive relief, serious wrongdoing or a need to establish a legal precedent. But even where litigation is the intended destination, settlement should remain part of the strategic assessment.

Litigation funding and the question of affordability

Another important consideration is how litigation will be funded.

The costs of complex commercial litigation can be substantial, particularly where the dispute involves extensive disclosure, expert evidence, multiple parties or cross-border issues. Third-party litigation funding has consequently become an important part of the litigation landscape.

The Supreme Court’s decision in PACCAR created significant uncertainty by holding that certain litigation funding agreements fell within the statutory definition of damages-based agreements. The Government subsequently announced plans to legislate to restore the enforceability of affected litigation funding arrangements.

The wider debate demonstrates an important point for commercial litigants: funding is not simply an administrative issue.

The availability and structure of funding can influence whether a claim is pursued, the level of risk a claimant is prepared to accept and the way a dispute is managed.

Businesses considering substantial litigation should therefore consider funding and costs strategy at an early stage rather than treating it as an issue to be addressed after the substantive case has been developed.

Cross-border disputes require even earlier planning

The need for early strategy becomes particularly important where a dispute has an international element.

A business may have counterparties in different jurisdictions, assets overseas, governing-law provisions in its contracts or arbitration clauses providing for disputes to be determined outside England and Wales. Questions concerning jurisdiction, service, enforcement and applicable law can become central to the dispute. A judgment may have little practical value if the defendant has moved its assets overseas or if enforcement presents significant obstacles.

The same applies to urgent applications. If assets are at risk of being dissipated or confidential information is about to be disclosed, delay can materially affect the available remedies.

Businesses operating internationally should therefore consider dispute risk when contracts are being negotiated, not simply once a relationship has broken down.

The cost of delay

Perhaps the most consistent feature of commercial disputes is that delay rarely makes them simpler. As time passes, memories become less reliable. Employees leave. Documents become harder to locate. Commercial relationships deteriorate. Opportunities to negotiate may disappear.

There may also be limitation issues. A business that waits too long before obtaining advice may find that the legal position is more complicated than it initially appeared.

Early advice does not necessarily mean early proceedings. It means early understanding. That distinction is important.

A business can obtain advice, preserve documents, assess its contractual rights, understand its potential exposure and consider its commercial options without immediately issuing a claim.

Indeed, that process may ultimately demonstrate that litigation is unnecessary.

A more strategic approach to commercial disputes

The traditional image of litigation is a courtroom, barristers and a judge deciding who is right. That remains an important part of the dispute-resolution process. But modern commercial litigation is broader than that. The real work often begins long before a hearing.

It involves understanding the business, identifying the commercial objective, analysing the contractual position, preserving evidence, assessing costs and funding, considering alternative dispute resolution and determining what tactical steps are available.

Technology is adding another layer to that process. Businesses now need to understand not only what documents they have, but how those documents are created, stored, communicated and potentially altered.

For that reason, the strongest approach to a commercial dispute is often a proactive one. The objective should not be to prepare for litigation after the dispute has already escalated. It should be to put the business in the strongest possible position from the moment a dispute becomes foreseeable. That may mean negotiating. It may mean mediation. It may mean sending a carefully considered pre-action letter. It may mean seeking urgent relief from the court. Or it may mean deciding, after a proper assessment, that litigation is not commercially justified.

There is no single answer for every dispute.

What matters is having the information and advice necessary to choose the right answer.

Conclusione

Commercial litigation is ultimately about more than legal arguments.

It is about protecting a business’s position and achieving a commercially sensible outcome.

The businesses that approach disputes effectively are not necessarily those that are quickest to issue proceedings. They are often those that recognise problems early, preserve evidence, understand their contractual rights, assess the risks honestly and decide what they actually want to achieve.

As disclosure rules evolve and technology continues to transform the way businesses communicate and store information, that early strategic approach is likely to become even more important.

The “litigation” may begin when proceedings are issued. But the outcome can be shaped much earlier.

For businesses facing a potential commercial dispute, obtaining specialist advice at that early stage can help identify the available options, protect important evidence and establish a strategy based not only on the legal merits, but on the commercial realities of the situation. In many cases, that is where the real advantage is gained.

If you need advice or assistance in relation to any of the above, please do not hesitate to contact Saba Ahmed, Associate at Ronald Fletcher Baker LLP, via e-mail at saba.ahmed@rfblegal.co.uk or telephone at 020 3961 3118.

[62
81
post-10611","insight","type-insight","status-publish","format-standard","has-post-thumbnail","hentry","category-commercial-litigation","tag-litigation-team-dj

<meta name="description" content="Saba Ahmed, Associate at Ronald Fletcher Baker LLP advises clients on a broad range of commercial litigation disputes.
