class=\"wp-block-heading\"><strong>Does the Landlord and Tenant Act 1954 protect my tenancy?<\/strong>&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">For many business tenants, the answer can have significant <a href=\"https:\/\/rfblegal.co.uk\/it\/approfondimenti\/i-marcatori-cifas-cause-conseguenze-e-soluzioni\/\">consequences<\/a>.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A protected tenancy can give a tenant important rights when the contractual term of the <a class=\"wp-block-paragraph\">The position depends on the nature of the tenancy, the premises and, importantly, whether the parties have agreed to exclude the <a help business owners avoid being caught out when their lease approaches expiry.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What is a protected commercial tenancy?<\/strong>&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Il <a and Tenant Act 1954 provides a statutory framework for certain business tenancies.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Broadly, where the Act applies, a business tenant may have <strong><a href=\"https:\/\/rfblegal.co.uk\/it\/approfondimenti\/qa-deferred-consideration-security\/\">security<\/a> of tenure<\/strong>.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This means that the tenant may have a statutory right to remain in the premises and seek a new tenancy when the contractual term ends, subject to the provisions of the Act.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The important point is that the end of the contractual term does not necessarily mean that the tenant simply has to leave.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The legal position can be more complicated.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What does &#8220;security of tenure&#8221; actually mean?<\/strong>&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Security of tenure is essentially protection against the tenancy simply coming to an end without the statutory process being followed.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If the tenancy is protected, the landlord cannot necessarily require the tenant to leave merely because the contractual term has expired.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The tenant may have the right to request a new tenancy.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However, this protection is not absolute.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The 1954 Act sets out circumstances in which a landlord can oppose the grant of a new tenancy.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These are commonly referred to as the landlord&#8217;s <strong>Section 30 grounds<\/strong>.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For example, certain grounds relate to redevelopment, the landlord&#8217;s <a href=\"https:\/\/rfblegal.co.uk\/it\/approfondimenti\/opposizione-al-rinnovo-del-contratto-di-locazione-commerciale-intenzione-dei-proprietari-di-riqualificare-il-sottosuolo-f\/\">intention<\/a> to occupy the <a href=\"https:\/\/rfblegal.co.uk\/it\/categoria\/contenzioso-immobiliare-2\/\">propriet\u00e0<\/a> and particular <a href=\"https:\/\/rfblegal.co.uk\/it\/approfondimenti\/cosa-deve-sapere-ogni-locatore-commerciale-sulle-violazioni-dei-contratti-di-locazione-da-parte-degli-inquilini\/\">breaches<\/a> by the tenant.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">So protection does not mean that a tenant can remain indefinitely regardless of the circumstances.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It means that the tenant has statutory rights which need to be considered before the tenancy comes to an end.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Does every business tenant have protection?<\/strong>&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">No.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This is one of the most important points for commercial tenants to understand.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The 1954 Act applies to certain business tenancies, but there are circumstances in which a tenancy may fall outside the protection of the Act.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">There are also circumstances where the parties can agree that the security of tenure provisions <a href=\"https:\/\/rfblegal.co.uk\/it\/approfondimenti\/un-testamento-puo-annullare-i-miei-accordi-precedenti\/\">volont\u00e0<\/a> not apply.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This is commonly known as <strong>contracting out<\/strong>.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If a lease has been contracted out of the relevant provisions, the tenant may not have the same statutory right to seek a new tenancy at the end of the contractual term.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That can make a significant difference to the tenant&#8217;s position.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What does contracting out mean?<\/strong>&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Before a commercial lease is granted, the landlord and tenant can, in certain circumstances, agree that the statutory security of tenure provisions will not apply.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The process involves specific statutory <a href=\"https:\/\/rfblegal.co.uk\/it\/approfondimenti\/visti-uk-2024-i-requisiti-minimi-di-stipendio-e-reddito\/\">requirements<\/a>.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is not simply a <a href=\"https:\/\/rfblegal.co.uk\/it\/approfondimenti\/quando-si-considera-larticolo-9-dellarbitration-act-1996-che-cosa-e-la-materia\/\">matter<\/a> of putting a sentence in the lease saying:&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&#8220;The Landlord and Tenant Act 1954 does not apply.&#8221;&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">There is a formal procedure which needs to be followed before the tenant becomes contractually bound by the exclusion.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The tenant should therefore understand whether the lease is being granted with or without security of tenure before committing to the premises.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Why does it matter to a tenant?<\/strong>&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Imagine two businesses operating from similar premises.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Business A has a lease protected by the 1954 Act.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Business B has a lease that has been contracted out.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Both leases reach their contractual expiry dates.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The legal position may be very different.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Business A may have statutory renewal rights, subject to the Act and any grounds on which the landlord can oppose renewal.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Business B may simply have to leave when its contractual tenancy ends unless a new <a href=\"https:\/\/rfblegal.co.uk\/it\/base-di-conoscenza\/ho-bisogno-di-un-accordo-con-gli-azionisti\/\">agreement<\/a> is reached with the landlord.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That difference can be extremely important for a business that has invested heavily in its premises.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Think about the value of the location<\/strong>&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Il <a href=\"https:\/\/rfblegal.co.uk\/it\/approfondimenti\/limportanza-dei-patti-parasociali\/\">importance<\/a> of security of tenure is not just legal.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It can have a direct commercial impact.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A business may have spent years building its reputation at a particular address.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Customers may associate the business with the <a href=\"https:\/\/rfblegal.co.uk\/it\/posizione\/\">posizione<\/a>.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The premises may be specially fitted out.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The business may have invested in signage, equipment and improvements.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A restaurant, shop, clinic, office or professional practice may depend heavily on its location.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Losing the premises could therefore involve much more than finding <a href=\"https:\/\/rfblegal.co.uk\/it\/approfondimenti\/un-altro-ufficio-di-successo-per-la-registrazione-degli-studenti\/\">another<\/a> building.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It could affect the value and operation of the business itself.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That is why the question of security of tenure should ideally be considered <strong>before signing the lease<\/strong>, rather than for the first time when the lease is <a href=\"https:\/\/rfblegal.co.uk\/it\/chi-siamo\/\">about<\/a> to expire.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Can a landlord still get the property back?<\/strong>&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Yes.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A protected tenancy does not give the tenant an unlimited right to remain in the property.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The 1954 Act provides circumstances in which a landlord can oppose the grant of a new tenancy.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Some grounds are based on the tenant&#8217;s conduct.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Others relate to what the landlord intends to do with the property.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For example, redevelopment can be relevant in certain circumstances.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A landlord may also seek to rely on a ground relating to its own intended occupation.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The precise requirements vary depending on the statutory ground being relied upon.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This means that a tenant should not assume that having security of tenure <a href=\"https:\/\/rfblegal.co.uk\/it\/approfondimenti\/le-garanzie-personali-e-gli-arretrati-degli-affitti-commerciali-sono-a-rischio-per-gli-amministratori\/\">guarantees<\/a> a renewal.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It provides protection, but that protection operates within the framework of the Act.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What happens when the lease approaches expiry?<\/strong>&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">This is where <a href=\"https:\/\/rfblegal.co.uk\/it\/approfondimenti\/onlyfans-e-contratti-limportanza-del-tempismo\/\">timing<\/a> becomes important.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A tenant should establish well in advance:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>whether the tenancy is protected;&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>whether the lease has been contracted out;&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>when the contractual term ends;&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>whether either party has served a statutory notice;&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>whether the landlord intends to oppose renewal; and&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>what steps need to be taken to protect the tenant&#8217;s position.&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>&nbsp;<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">There are different statutory procedures that may apply depending on the circumstances.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For example, a tenant wishing to seek a new tenancy may consider a Section 26 request, while a landlord seeking to terminate a protected tenancy may serve a Section 25 notice.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A tenant who wants to leave may also have statutory options.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The important point is that the parties should not simply assume that the contractual expiry date tells the whole story.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What if the lease says the tenant must leave at the end?<\/strong>&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">This is an area where tenants need to be careful.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A lease might <a href=\"https:\/\/rfblegal.co.uk\/it\/approfondimenti\/accordi-tra-azionisti-perche-ogni-azienda-ne-ha-bisogno-e-cosa-dovrebbero-contenere\/\">contain<\/a> wording dealing with the end of the contractual term.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But if the tenancy is protected by the 1954 Act, the statutory regime may affect what happens when that term expires.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Conversely, if the tenancy was properly contracted out of the Act, the tenant may not have the same protection.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The wording of the lease therefore needs to be considered alongside the statutory position.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What should a tenant check before signing a new lease?<\/strong>&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">If you are taking a new commercial lease, there are several questions worth asking.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>1. Is the tenancy protected?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Find out whether the 1954 Act security of tenure provisions will apply.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>2. Is the landlord asking you to contract out?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">If so, understand exactly what you are giving up.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>3. How long is the lease?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">A shorter lease without renewal protection can create a very different risk from a longer protected lease.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>4. Is there a break clause?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">A break clause may give flexibility, but the <a href=\"https:\/\/rfblegal.co.uk\/it\/dettagli-dellaccount-cliente\/\">conditions<\/a> attached to it need to be understood.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>5. What happens at the end of the term?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Do not assume that the answer is obvious.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Understand whether you will have a statutory renewal right or whether you will need to negotiate a completely new tenancy.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What if you are already in the premises?<\/strong>&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">If you already occupy commercial premises, it is worth checking the position before your lease gets close to expiry.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You should establish whether:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>the tenancy is protected;&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>the lease was contracted out;&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>the contractual term has expired;&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>the tenancy has continued after expiry;&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>the landlord has served any notice; or&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>you have served any notice yourself.&nbsp;<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The answer can affect what options are available to you.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It can also affect the timing of any decision to stay or move.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Don&#8217;t rely solely on the phrase &#8220;1954 Act protected&#8221;<\/strong>&nbsp;<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Commercial leases can be complicated.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is not enough to assume that a lease is protected simply because someone tells you that it is.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Equally, a tenant should not assume that protection has been excluded simply because the lease contains a reference to the 1954 Act.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The circumstances in which security of tenure is excluded involve specific legal requirements.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The lease and the relevant <a
