Fondements juridiques et fondement constitutionnel<\/strong>&nbsp;<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Q : En vertu de quelles dispositions l\u00e9gales un pr\u00eateur relais est-il habilit\u00e9 \u00e0 nommer un administrateur judiciaire ?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>R :<\/strong>&nbsp;Le pouvoir l\u00e9gal de nommer des administrateurs judiciaires d\u00e9coule de&nbsp;<strong>Article 101, paragraphe 1, point iii), de la loi de 1925 sur le droit immobilier (LPA)<\/strong>. Cette section pr\u00e9voit la possibilit\u00e9 de nommer un administrateur judiciaire dans le cadre de tout pr\u00eat hypoth\u00e9caire ou de toute charge constitu\u00e9e par acte notari\u00e9.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Toutefois, les pouvoirs l\u00e9gaux pr\u00e9vus par la loi de 1925 sur les pr\u00eats hypoth\u00e9caires (LPA 1925) \u00e9tant limit\u00e9s, les pr\u00eateurs relais ont g\u00e9n\u00e9ralement tendance \u00e0 \u00e9largir explicitement ces dispositions par le biais des clauses expresses de leurs&nbsp;<strong>documents relatifs aux obligations ou aux charges l\u00e9gales<\/strong>. Cela donne naissance \u00e0 un \u201c administrateur charg\u00e9 de la gestion des frais fixes \u201d pr\u00e9vu par contrat, dont les pouvoirs op\u00e9rationnels d\u00e9passent largement le simple cadre l\u00e9gal de la LPA.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Q : \u00c0 quel moment le pouvoir l\u00e9gal de nommer un administrateur judiciaire prend-il effet et devient-il exer\u00e7able ?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>R :<\/strong>\u00a0Sous\u00a0<strong><a href=\"https:\/\/www.legislation.gov.uk\/ukpga\/Geo5\/15-16\/20\/section\/103\">Article 103 de la loi de 1925 sur la protection des personnes (LPA)<\/a><\/strong>, le droit l\u00e9gal de vente \u2014 et, par extension, le pouvoir de nommer un administrateur judiciaire \u2014 prend effet d\u00e8s que la dette hypoth\u00e9caire devient exigible (g\u00e9n\u00e9ralement \u00e0 la date d'\u00e9ch\u00e9ance pr\u00e9vue par le contrat).\u00a0<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Cependant, cela ne devient&nbsp;<em>exer\u00e7able<\/em>&nbsp;lorsqu'un des crit\u00e8res l\u00e9gaux suivants est rempli :&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Une mise en demeure exigeant le paiement du capital hypoth\u00e9caire a \u00e9t\u00e9 signifi\u00e9e au d\u00e9biteur hypoth\u00e9caire, et celui-ci est en d\u00e9faut de paiement d'une partie ou de la totalit\u00e9 de ce montant depuis trois mois \u00e0 compter de la signification.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Une partie des int\u00e9r\u00eats li\u00e9s \u00e0 l'hypoth\u00e8que est en retard de paiement et n'a pas \u00e9t\u00e9 r\u00e9gl\u00e9e deux semaines apr\u00e8s leur \u00e9ch\u00e9ance.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Il y a eu manquement \u00e0 une disposition figurant dans l'acte hypoth\u00e9caire ou dans la loi de 1925 sur les pr\u00eats hypoth\u00e9caires (LPA 1925), autre qu'une obligation de paiement du capital ou des int\u00e9r\u00eats de l'hypoth\u00e8que.\u00a0<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Il est important de noter que la quasi-totalit\u00e9 des contrats de pr\u00eat relais modernes modifient ou excluent contractuellement l'application de l'article 103. Cela permet au pr\u00eateur d'exercer imm\u00e9diatement ses pouvoirs d\u00e8s la survenance d'un cas de d\u00e9faut d\u00e9fini contractuellement, sans avoir \u00e0 attendre l'expiration des d\u00e9lais l\u00e9gaux.\u00a0<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>2. Le statut d'agence et le principe de non-responsabilit\u00e9<\/strong>&nbsp;<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Q : Quelle est l'importance de la relation dite d\u201c\u201d agent pr\u00e9sum\u00e9 \u00bb dans le cadre d'une mise sous administration judiciaire au titre de la LPA ?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>R :<\/strong>\u00a0Sous\u00a0<strong><a href=\"https:\/\/www.legislation.gov.uk\/ukpga\/Geo5\/15-16\/20\/section\/109\">Article 109, paragraphe 2, de la loi de 1925 sur la protection des personnes (LPA)<\/a><\/strong>, sauf disposition contraire expresse figurant dans l'acte hypoth\u00e9caire, le s\u00e9questre est r\u00e9put\u00e9 \u00eatre le mandataire du d\u00e9biteur hypoth\u00e9caire (l'emprunteur).\u00a0<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Cela donne lieu \u00e0 une construction juridique d\u00e9lib\u00e9r\u00e9e ayant des cons\u00e9quences commerciales importantes :&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Protection du pr\u00eateur :<\/strong>\u00a0Le b\u00e9n\u00e9ficiaire agissant en tant que mandataire de l'emprunteur, le pr\u00eateur relais \u00e9chappe aux responsabilit\u00e9s incombant \u00e0 un \u201c cr\u00e9ancier hypoth\u00e9caire en possession \u201d. Un cr\u00e9ancier hypoth\u00e9caire en possession est en effet soumis \u00e0 une obligation stricte de rendre des comptes \u00e0 l'emprunteur et s'expose \u00e0 une responsabilit\u00e9 potentielle en cas de mauvaise gestion ou de gaspillage des biens.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Responsabilit\u00e9 de l'emprunteur :<\/strong>\u00a0L'emprunteur reste seul responsable des actes, omissions, contrats et n\u00e9gligences du syndic pendant la dur\u00e9e de la mise sous administration judiciaire.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>R\u00e9siliation du contrat d'agence :<\/strong>\u00a0Si l'emprunteur fait l'objet d'une liquidation judiciaire, le liquidateur cesse d'agir en tant que mandataire de la soci\u00e9t\u00e9. Toutefois, il conserve le pouvoir de d\u00e9tenir et de disposer du bien grev\u00e9, et agit en fait en tant que mandant \u00e0 l'\u00e9gard de ce bien.\u00a0<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>3. Modalit\u00e9s proc\u00e9durales de la nomination<\/strong>&nbsp;<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Q : Quelles sont les d\u00e9marches administratives sp\u00e9cifiques qu\u2019un pr\u00eateur doit accomplir pour nommer valablement un administrateur judiciaire et \u00e9viter toute contestation quant \u00e0 la validit\u00e9 de cette nomination ?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>R :<\/strong>&nbsp;\u00c9tant donn\u00e9 qu\u2019une nomination non valide pourrait constituer un motif de recours,&nbsp;<strong>atteinte aux biens et aux terrains<\/strong>, les pr\u00eateurs doivent respecter scrupuleusement une proc\u00e9dure pr\u00e9cise :&nbsp;<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li><strong>Survenance d'un cas de d\u00e9faillance :<\/strong>\u00a0Il doit y avoir un manquement contractuel av\u00e9r\u00e9 (par exemple, d\u00e9faut de remboursement \u00e0 l'\u00e9ch\u00e9ance, violation d'une clause financi\u00e8re non r\u00e9gularis\u00e9e).\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"2\" class=\"wp-block-list\">\n<li><strong>Signification d'une mise en demeure :<\/strong>\u00a0Le pr\u00eateur doit adresser une mise en demeure formelle, conforme aux dispositions contractuelles, exigeant le remboursement imm\u00e9diat. Si le titre de cr\u00e9ance pr\u00e9voit un d\u00e9lai de pr\u00e9avis sp\u00e9cifique, ce d\u00e9lai doit \u00eatre respect\u00e9. Si le pr\u00eat est remboursable \u201c \u00e0 vue \u201d, le pr\u00eateur accorde souvent \u00e0 l'emprunteur un d\u00e9lai raisonnable pour effectuer le virement.\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"3\" class=\"wp-block-list\">\n<li><strong>Rendez-vous :<\/strong>\u00a0La d\u00e9signation doit \u00eatre effectu\u00e9e par \u00e9crit, g\u00e9n\u00e9ralement sous la forme d\u2019un acte notari\u00e9. Elle doit d\u00e9signer explicitement le b\u00e9n\u00e9ficiaire et indiquer clairement que le pouvoir de d\u00e9signation pr\u00e9vu par l\u2019acte de s\u00fbret\u00e9 a pris effet.\u00a0Si la d\u00e9signation est effectu\u00e9e par acte notari\u00e9, celui-ci doit \u00eatre valablement sign\u00e9 par le mandant (par exemple, le pr\u00eateur). Pour les soci\u00e9t\u00e9s, cela n\u00e9cessite g\u00e9n\u00e9ralement la signature de deux administrateurs, ou d\u2019un administrateur et du secr\u00e9taire g\u00e9n\u00e9ral. S\u2019il est sign\u00e9 par une personne physique, il doit l\u2019\u00eatre en pr\u00e9sence d\u2019un t\u00e9moin ind\u00e9pendant.\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"4\" class=\"wp-block-list\">\n<li><strong>Prise de fonction :<\/strong>\u00a0La nomination n'a pas d'effet juridique tant que le liquidateur n'a pas sign\u00e9 l'acte ou n'a pas accept\u00e9 officiellement ses fonctions. En vertu du r\u00e8glement sur l'insolvabilit\u00e9, cette acceptation doit intervenir avant la fin de la journ\u00e9e ouvrable suivant la r\u00e9ception de l'acte.\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"5\" class=\"wp-block-list\">\n<li><strong>Mentions l\u00e9gales :<\/strong>\u00a0<\/li>\n<\/ol>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Registre du commerce :<\/strong>\u00a0Si l'emprunteur est une personne morale, formulaire\u00a0<strong>RM01<\/strong>\u00a0doit \u00eatre remis au greffe des soci\u00e9t\u00e9s dans un d\u00e9lai de\u00a0<strong>7 jours<\/strong>\u00a0de la nomination conform\u00e9ment \u00e0 l'article 859K de la loi de 2006 sur les soci\u00e9t\u00e9s.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Cadastre :<\/strong>\u00a0La demande doit \u00eatre d\u00e9pos\u00e9e \u00e0 l'aide du formulaire\u00a0<strong>RX1<\/strong>\u00a0et\u00a0<strong>AP1<\/strong>\u00a0pour inscrire une restriction ou mentionner la nomination au regard du titre enregistr\u00e9.\u00a0<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>4. Champ d'application des comp\u00e9tences et strat\u00e9gies de gestion d'actifs<\/strong>&nbsp;<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Q : En quoi les strat\u00e9gies de cession d\u2019actifs du liquidateur diff\u00e8rent-elles selon qu\u2019il s\u2019agit d\u2019une charge fixe standard ou des pouvoirs l\u00e9gaux de base pr\u00e9vus par la loi sur la liquidation (LPA) ?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>R :<\/strong>&nbsp;Un administrateur judiciaire nomm\u00e9 en vertu de la loi (LPA) ne disposant que des pouvoirs minimaux a des comp\u00e9tences limit\u00e9es, qui se restreignent principalement \u00e0 la perception des loyers, \u00e0 la souscription d'une assurance pour le bien immobilier et \u00e0 la r\u00e9alisation de r\u00e9parations de base. Il ne dispose pas d'un pouvoir de vente inh\u00e9rent pr\u00e9vu par la loi ; ce pouvoir reste d\u00e9volu au pr\u00eateur.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">En revanche, un contrat qui conf\u00e8re des pouvoirs&nbsp;<strong>r\u00e9cepteur \u00e0 tarif forfaitaire<\/strong>&nbsp;fonctionne selon un large \u00e9ventail de pouvoirs express\u00e9ment \u00e9nonc\u00e9s dans l'acte hypoth\u00e9caire. Priorit\u00e9s financi\u00e8res et r\u00e9partition des fonds<\/strong>&nbsp;<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Q : Quel est l'ordre de priorit\u00e9 pr\u00e9vu par la loi pour la r\u00e9partition des produits r\u00e9alis\u00e9s par le liquidateur ?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>R :<\/strong>\u00a0L'utilisation des fonds per\u00e7us par un administrateur judiciaire LPA est r\u00e9gie par\u00a0<a href=\"https:\/\/www.legislation.gov.uk\/ukpga\/Geo5\/15-16\/20\/section\/109\"><strong>Article 109, paragraphe 8, de la loi de 1925 sur le droit immobilier<\/strong>.<\/a> Le produit doit \u00eatre r\u00e9parti dans l'ordre s\u00e9quentiel pr\u00e9cis suivant :\u00a0<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li><strong>Loyer, charges et taxes :<\/strong>\u00a0Le paiement de toutes les d\u00e9penses, taxes fonci\u00e8res, imp\u00f4ts et cotisations grevant le bien hypoth\u00e9qu\u00e9.\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"2\" class=\"wp-block-list\">\n<li><strong>Charges ant\u00e9rieures :<\/strong>\u00a0En retenant toutes les sommes annuelles ou autres versements, ainsi que les int\u00e9r\u00eats sur toutes les sommes en capital, qui ont priorit\u00e9 sur l'hypoth\u00e8que au titre de laquelle il agit en tant que s\u00e9questre.\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"3\" class=\"wp-block-list\">\n<li><strong>Commission et frais du liquidateur :<\/strong>\u00a0Le paiement de la commission l\u00e9gale du syndic, des primes d'assurance et du co\u00fbt des r\u00e9parations effectu\u00e9es sur ordre du pr\u00eateur.\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"4\" class=\"wp-block-list\">\n<li><strong>Int\u00e9r\u00eats subordonn\u00e9s\/prioritaires :<\/strong>\u00a0Le paiement des int\u00e9r\u00eats courus et exigibles sur tout capital d\u00fb au titre de l'hypoth\u00e8que.\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"5\" class=\"wp-block-list\">\n<li><strong>Capital :<\/strong>\u00a0Paiement du montant principal d\u00fb au titre de l'hypoth\u00e8que (le capital de la dette relais, y compris les p\u00e9nalit\u00e9s contractuelles en cas de d\u00e9faut de paiement).\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"6\" class=\"wp-block-list\">\n<li><strong>R\u00e9sidus exc\u00e9dentaires :<\/strong>\u00a0Le versement du solde final, le cas \u00e9ch\u00e9ant, \u00e0 la personne qui, sans la mise sous s\u00e9questre, aurait eu droit aux revenus du bien hypoth\u00e9qu\u00e9 (par exemple, les titulaires d'une charge de second rang ou l'emprunteur).\u00a0<\/li>\n<\/ol>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>6. Att\u00e9nuation des risques et mesures prises par l'emprunteur<\/strong>&nbsp;<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Q : Quels recours juridiques un emprunteur peut-il engager pour contester ou faire annuler une mise sous administration judiciaire ?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>R :<\/strong>&nbsp;Les emprunteurs contestent g\u00e9n\u00e9ralement ces d\u00e9cisions sur trois fronts juridiques principaux :&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Mesures injonctives :<\/strong>\u00a0Demande d'une injonction provisoire visant \u00e0 emp\u00eacher la nomination ou une vente d'actifs envisag\u00e9e. Pour obtenir gain de cause, l'emprunteur doit satisfaire aux\u00a0<em>American Cyanamid<\/em>\u00a0principes, d\u00e9montrant qu\u2019il existe un litige s\u00e9rieux \u00e0 trancher et que des dommages-int\u00e9r\u00eats ne constitueraient pas une r\u00e9paration ad\u00e9quate.\u00a0\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Recours pour manquement \u00e0 une obligation :<\/strong>\u00a0Si les liquidateurs n\u2019ont pas l\u2019obligation g\u00e9n\u00e9rale de diligence envers les emprunteurs consistant \u00e0 choisir le moment le plus opportun pour vendre, ils ont toutefois une obligation \u00e9quitable d\u2019agir de bonne foi. Ils doivent prendre\u00a0<strong>prendre toutes les mesures raisonnables pour obtenir le meilleur prix raisonnablement possible<\/strong>\u00a0au moment de la vente. Si un administrateur judiciaire c\u00e8de un actif \u00e0 un prix brad\u00e9 sans avoir proc\u00e9d\u00e9 \u00e0 une mise sur le march\u00e9 en bonne et due forme, l'emprunteur peut intenter une action en justice pour obtenir r\u00e9paration du pr\u00e9judice subi.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Moratoires en mati\u00e8re d'insolvabilit\u00e9 :<\/strong>\u00a0Si l'emprunteur est une personne morale \u00e9ligible, le d\u00e9p\u00f4t d'une demande de\u00a0<strong>Administration<\/strong>\u00a0en vertu de l'annexe B1 de la loi de 1986 sur l'insolvabilit\u00e9, cela d\u00e9clenche une proc\u00e9dure automatique pr\u00e9vue par la loi\u00a0<strong>moratoire<\/strong>.
