L'\u00e9quipe juridique de Ronald Fletcher Baker LLP, assist\u00e9e d'un avocat de l'Universit\u00e9 de Londres, s'est prononc\u00e9e en faveur de l'appel. <a href=\"https:\/\/www.selbornechambers.co.uk\/barrister\/nicholas-trompeter-kc\/\">Nicholas Trompeter KC<\/a> de <a href=\"https:\/\/www.selbornechambers.co.uk\/\">Chambres de Selborne<\/a>, L'affaire est confront\u00e9e \u00e0 une d\u00e9cision surprenante de la Haute Cour qui remet en cause des d\u00e9cennies de pratiques \u00e9tablies sur le march\u00e9 en ce qui concerne les primes d'assurance et les commissions conserv\u00e9es par les propri\u00e9taires. L'affaire est confront\u00e9e \u00e0 une d\u00e9cision surprenante de la Haute Cour qui remet en cause des d\u00e9cennies de pratiques \u00e9tablies sur le march\u00e9 en ce qui concerne les primes d'assurance et les commissions conserv\u00e9es par les propri\u00e9taires.<\/p>\n\n\n\n<p>L'appel, men\u00e9 par les associ\u00e9s Rudi Ramdarshan, Victoria Huxley et le collaborateur Nii-Amaa Ollennu de Ronald Fletcher Baker LLP, apportera des \u00e9claircissements essentiels sur des pratiques qui constituent la pierre angulaire du march\u00e9 de l'immobilier commercial au Royaume-Uni depuis au moins les ann\u00e9es 1970.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">La d\u00e9cision de la Haute Cour<\/h2>\n\n\n\n<p>La conclusion initiale de la High Court reposait sur une interpr\u00e9tation \u00e9troite du mot \u201cprime\u201d dans un bail accord\u00e9 en 1994. La Cour a estim\u00e9 que les commissions retenues par un propri\u00e9taire ne faisaient pas partie de la \u201cprime payable... pour maintenir le Centre assur\u00e9\u201d.<\/p>\n\n\n\n<p>Cette conclusion va toutefois \u00e0 l'encontre du point de vue partag\u00e9 par les experts en assurance des deux parties, qui ont convenu que, dans la terminologie du secteur de l'assurance, la commission est consid\u00e9r\u00e9e comme faisant partie de la prime brute.<\/p>\n\n\n\n<p>Recevoir et conserver des commissions d'assurance \u00e9tait une caract\u00e9ristique r\u00e9pandue et de longue date du march\u00e9 britannique de l'immobilier commercial, en particulier \u00e0 l'\u00e9poque o\u00f9 le bail initial a \u00e9t\u00e9 accord\u00e9 en 1994.<\/p>\n\n\n\n<p>Il \u00e9tait courant pour les grands propri\u00e9taires institutionnels d'organiser des commissions par le biais d'une \u201cpolitique de bloc\u201d couvrant plusieurs propri\u00e9t\u00e9s. Cette \u00e9chelle offre un levier de n\u00e9gociation important qu'un locataire individuel ne pourrait jamais esp\u00e9rer atteindre. Les propri\u00e9taires peuvent acc\u00e9der \u00e0 des assureurs sp\u00e9cialis\u00e9s, obtenir des conditions plus favorables et potentiellement des primes nettes plus comp\u00e9titives. Les propri\u00e9taires sont en mesure de tirer parti de la taille de leur portefeuille pour proposer \u00e0 leurs locataires un produit d'assurance de qualit\u00e9 sup\u00e9rieure.<\/p>\n\n\n\n<p>Bien que les locataires contribuent \u00e0 la commission, l'offre globale - comprenant la prime nette, l'\u00e9tendue de la couverture et la commission - repr\u00e9sente souvent une meilleure proposition de valeur que ce que le locataire pourrait obtenir ind\u00e9pendamment sur le march\u00e9 libre. Cela peut \u00eatre particuli\u00e8rement le cas pour les sites complexes et \u00e0 haut risque situ\u00e9s dans le centre de Londres.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">L'appel<\/h2>\n\n\n\n<p>Le tribunal examinera si la \u201cprime\u201d, telle qu'elle est comprise sur le march\u00e9 et par les parties au moment o\u00f9 le bail a \u00e9t\u00e9 accord\u00e9, comprend la totalit\u00e9 de la prime brute, qui inclut les commissions, qu'elles soient partag\u00e9es ou non.<\/p>\n\n\n\n<p>En outre, la Cour d'appel examinera s'il est appropri\u00e9 d'inclure une \u201cclause implicite Havenridge\u201d dans les baux r\u00e9dig\u00e9s par des professionnels et, dans l'affirmative, quelle devrait \u00eatre sa port\u00e9e. Une question importante \u00e0 laquelle il faudra r\u00e9pondre est celle de savoir s'il est n\u00e9cessaire de proc\u00e9der \u00e0 une enqu\u00eate contrefactuelle pour d\u00e9terminer ce qu'un propri\u00e9taire pourrait recevoir dans le cadre d'une n\u00e9gociation \u201cnormale\u201d dans des conditions de concurrence normale en vertu d'une telle clause implicite.<\/p>\n\n\n\n<p>En outre, la Cour d'appel se penchera sur la question de savoir quelle \u00e9tait la base des paiements effectu\u00e9s par le pass\u00e9 et sur l'\u00e9tendue de la demande de restitution d'un locataire.<\/p>\n\n\n\n<p>La conclusion de la Haute Cour a surpris de nombreux acteurs du secteur, car elle remet en cause une pratique du march\u00e9 en vigueur depuis au moins les ann\u00e9es 1970.
