Fundamentos legales y fundamento constitucional<\/strong>&nbsp;<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>P: \u00bfEn virtud de qu\u00e9 disposiciones legales tiene una entidad de cr\u00e9dito puente la facultad de nombrar a un administrador judicial?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>R:<\/strong>&nbsp;La facultad legal para nombrar administradores judiciales se deriva de&nbsp;<strong>Art\u00edculo 101, apartado 1, inciso iii), de la Ley de la Propiedad (LPA) de 1925<\/strong>. Este apartado implica la facultad de nombrar a un administrador judicial en relaci\u00f3n con cualquier hipoteca o gravamen constituido mediante escritura p\u00fablica.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Sin embargo, dado que las facultades legales previstas en la LPA de 1925 son restrictivas, las entidades de cr\u00e9dito puente suelen ampliar expl\u00edcitamente dichas disposiciones mediante las condiciones expresas de sus&nbsp;<strong>documentaci\u00f3n relativa a obligaciones o grav\u00e1menes legales<\/strong>. Esto da lugar a un \u201cadministrador con honorarios fijos\u201d de car\u00e1cter contractual, cuyas competencias operativas superan con creces el mero marco legal de la LPA.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>P: \u00bfCu\u00e1ndo surge legalmente la facultad legal de nombrar a un administrador judicial y cu\u00e1ndo puede ejercerse?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>R:<\/strong>\u00a0En\u00a0<strong><a href=\"https:\/\/www.legislation.gov.uk\/ukpga\/Geo5\/15-16\/20\/section\/103\">Art\u00edculo 103 de la Ley de Planificaci\u00f3n Local de 1925<\/a><\/strong>, la facultad legal de venta \u2014y, por extensi\u00f3n, la facultad de nombrar a un administrador judicial\u2014 surge tan pronto como la deuda hipotecaria vence (normalmente, en la fecha de vencimiento contractual).\u00a0<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Sin embargo, solo se convierte en&nbsp;<em>ejercitable<\/em>&nbsp;cuando se cumpla uno de los siguientes criterios legales:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Se ha notificado al deudor hipotecario el requerimiento de pago del importe de la hipoteca, y este ha incumplido el pago de parte o la totalidad de dicho importe durante los tres meses posteriores a la notificaci\u00f3n.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Algunos intereses de la hipoteca est\u00e1n atrasados y sin pagar desde hace dos semanas tras su vencimiento.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Se ha producido un incumplimiento de alguna de las disposiciones contenidas en la escritura hipotecaria o en la Ley de Propiedad de 1925 (LPA 1925), salvo el compromiso de pagar el importe de la hipoteca o los intereses.\u00a0<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Es importante destacar que casi todos los contratos modernos de pr\u00e9stamos puente modifican o excluyen contractualmente el art\u00edculo 103. Esto permite que las facultades del prestamista puedan ejercerse de forma inmediata en el momento en que se produzca un \u00abcaso de incumplimiento\u00bb definido contractualmente, sin necesidad de esperar a que transcurran los plazos legales.\u00a0<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>2. La condici\u00f3n de agente y el principio de exenci\u00f3n de responsabilidad<\/strong>&nbsp;<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>P: \u00bfQu\u00e9 importancia tiene la relaci\u00f3n de \u201crepresentaci\u00f3n presunta\u201d en una administraci\u00f3n judicial en virtud de una LPA?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>R:<\/strong>\u00a0En\u00a0<strong><a href=\"https:\/\/www.legislation.gov.uk\/ukpga\/Geo5\/15-16\/20\/section\/109\">Art\u00edculo 109, apartado 2, de la Ley de Propiedad Agraria de 1925<\/a><\/strong>, salvo que la escritura hipotecaria indique expresamente lo contrario, se considera que el administrador judicial act\u00faa como representante del deudor hipotecario (el prestatario).\u00a0<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Esto da lugar a un constructo jur\u00eddico deliberado con importantes consecuencias comerciales:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Protecci\u00f3n del prestamista:<\/strong>\u00a0Dado que el receptor act\u00faa como agente del prestatario, la entidad de cr\u00e9dito puente evita las responsabilidades propias de un \u201cacreedor hipotecario en posesi\u00f3n\u201d. Un acreedor hipotecario en posesi\u00f3n tiene un deber estricto de rendici\u00f3n de cuentas ante el prestatario y se enfrenta a una posible responsabilidad por mala gesti\u00f3n o despilfarro de los bienes.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Responsabilidad del prestatario:<\/strong>\u00a0El prestatario sigue siendo el \u00fanico responsable de los actos, omisiones, contratos y negligencias del administrador judicial durante el transcurso de la administraci\u00f3n judicial.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Extinci\u00f3n del contrato de agencia:<\/strong>\u00a0Si el deudor entra en liquidaci\u00f3n judicial, el administrador concursal deja de actuar como representante de la empresa. No obstante, su facultad para conservar y enajenar el bien garantizado se mantiene, y act\u00faa, en la pr\u00e1ctica, como titular directo de dicho bien.\u00a0<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>3. Aspectos procedimentales del nombramiento<\/strong>&nbsp;<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>P: \u00bfQu\u00e9 pasos espec\u00edficos de car\u00e1cter administrativo debe seguir un prestamista para nombrar v\u00e1lidamente a un administrador judicial y evitar una reclamaci\u00f3n por nombramiento nulo?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>R:<\/strong>&nbsp;Dado que una cita no v\u00e1lida podr\u00eda constituir un motivo de demanda&nbsp;<strong>invasi\u00f3n de bienes y terrenos<\/strong>, las entidades crediticias deben cumplir estrictamente una secuencia procedimental precisa:&nbsp;<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li><strong>Producci\u00f3n de un caso de incumplimiento:<\/strong>\u00a0Debe existir efectivamente un incumplimiento definido contractualmente (por ejemplo, la falta de amortizaci\u00f3n al vencimiento o el incumplimiento de una cl\u00e1usula financiera que no se haya subsanado).\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"2\" class=\"wp-block-list\">\n<li><strong>Notificaci\u00f3n de una requerimiento formal:<\/strong>\u00a0El prestamista debe notificar al prestatario una requerencia formal de reembolso inmediato que se ajuste a lo estipulado en el contrato. Si el documento de cr\u00e9dito exige un plazo de preaviso espec\u00edfico, dicho plazo debe haber vencido. Si el pr\u00e9stamo es reembolsable \u201ca la vista\u201d, el prestamista suele conceder al prestatario un plazo razonable para realizar la transferencia del pago.\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"3\" class=\"wp-block-list\">\n<li><strong>Cita:<\/strong>\u00a0El nombramiento debe realizarse por escrito, normalmente mediante una escritura. Debe nombrar expl\u00edcitamente al beneficiario y indicar claramente que ha surgido la facultad de nombramiento prevista en el documento de garant\u00eda.\u00a0Si el nombramiento se realiza mediante escritura, esta debe ser firmada v\u00e1lidamente por la persona que realiza el nombramiento (por ejemplo, el prestamista). En el caso de las sociedades, esto suele requerir la firma de dos consejeros, o de un consejero y el secretario de la sociedad. Si la firma la realiza una persona f\u00edsica, debe hacerse en presencia de un testigo independiente.\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"4\" class=\"wp-block-list\">\n<li><strong>Toma de posesi\u00f3n del cargo:<\/strong>\u00a0El nombramiento no surtir\u00e1 efecto legal hasta que el administrador judicial firme la escritura o acepte formalmente el cargo. Seg\u00fan el Reglamento de Insolvencia, dicha aceptaci\u00f3n debe producirse antes de que finalice la jornada laboral siguiente a la recepci\u00f3n del documento.\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"5\" class=\"wp-block-list\">\n<li><strong>Notificaciones legales:<\/strong>\u00a0<\/li>\n<\/ol>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Registro Mercantil:<\/strong>\u00a0Si el prestatario es una persona jur\u00eddica, el formulario\u00a0<strong>RM01<\/strong>\u00a0debe presentarse ante el Registro Mercantil en un plazo de\u00a0<strong>7 d\u00edas<\/strong>\u00a0del nombramiento, de conformidad con el art\u00edculo 859K de la Ley de Sociedades de 2006.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Registro de la Propiedad:<\/strong>\u00a0La solicitud debe presentarse mediante el formulario\u00a0<strong>RX1<\/strong>\u00a0y\u00a0<strong>AP1<\/strong>\u00a0para inscribir una restricci\u00f3n o anotar el nombramiento en el t\u00edtulo de propiedad registrado.\u00a0<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>4. \u00c1mbito de competencia y estrategias de gesti\u00f3n de activos<\/strong>&nbsp;<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>P: \u00bfEn qu\u00e9 se diferencian las estrategias de enajenaci\u00f3n de activos del administrador concursal cuando se aplica un cargo fijo est\u00e1ndar frente a las facultades legales b\u00e1sicas de la LPA?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>R:<\/strong>&nbsp;Un administrador judicial de un LPA que act\u00fae exclusivamente en virtud de la ley tiene facultades limitadas, que se restringen principalmente al cobro de los alquileres, la contrataci\u00f3n de seguros para el inmueble y la realizaci\u00f3n de reparaciones b\u00e1sicas. No posee una facultad legal inherente de venta; dicha facultad sigue recayendo en el prestamista.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Por el contrario, una entidad facultada por contrato&nbsp;<strong>receptor de tarifa fija<\/strong>&nbsp;opera con arreglo a un amplio conjunto de facultades expresas que se detallan expl\u00edcitamente en la escritura hipotecaria. Esto permite aplicar distintas estrategias de recuperaci\u00f3n:&nbsp;<\/p>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><tbody><tr><td><strong>Estrategia de aplicaci\u00f3n<\/strong>&nbsp;<\/td><td><strong>Mecanismo jur\u00eddico y operativo<\/strong>&nbsp;<\/td><td><strong>Objetivo jur\u00eddico principal<\/strong>&nbsp;<\/td><\/tr><tr><td><strong>Realizaci\u00f3n inmediata<\/strong>&nbsp;<\/td><td>Enajenaci\u00f3n mediante subasta p\u00fablica o negociaci\u00f3n directa, en virtud de facultades contractuales expresas de venta.&nbsp;<\/td><td>Liquidaci\u00f3n r\u00e1pida del activo para saldar la deuda preferente en condiciones de volatilidad del mercado.&nbsp;<\/td><\/tr><tr><td><strong>Gesti\u00f3n activa de activos<\/strong>&nbsp;<\/td><td>Regularizaci\u00f3n de los arrendamientos de uso profesional, resoluci\u00f3n de conflictos sobre l\u00edmites estructurales o subsanaci\u00f3n de infracciones urban\u00edsticas.&nbsp;<\/td><td>Mitigar los riesgos que merman la comerciabilidad para maximizar el valor bruto de realizaci\u00f3n.&nbsp;<\/td><\/tr><tr><td><strong>Finalizaci\u00f3n del proyecto de desarrollo<\/strong>&nbsp;<\/td><td>Hacer uso de las facultades extraordinarias para obtener financiaci\u00f3n, contratar a los principales contratistas y finalizar las obras pendientes.&nbsp;<\/td><td>Evitar los fuertes descuentos en la valoraci\u00f3n que el mercado aplica a las obras de construcci\u00f3n inconclusas o paralizadas.&nbsp;<\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>5. Prioridades financieras y distribuci\u00f3n de fondos<\/strong>&nbsp;<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>P: \u00bfCu\u00e1l es el orden de prioridad establecido por la ley para el reparto de los ingresos obtenidos por el administrador judicial?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>R:<\/strong>\u00a0La aplicaci\u00f3n de los fondos recibidos por un administrador judicial de una LPA se rige por\u00a0<a href=\"https:\/\/www.legislation.gov.uk\/ukpga\/Geo5\/15-16\/20\/section\/109\"><strong>Art\u00edculo 109, apartado 8, de la Ley de la Propiedad de 1925<\/strong>.<\/a> Los ingresos deben distribuirse siguiendo exactamente este orden:\u00a0<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li><strong>Alquiler, tarifas e impuestos:<\/strong>\u00a0El pago de todos los gastos, tasas, impuestos y cuotas que afecten al inmueble hipotecado.\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"2\" class=\"wp-block-list\">\n<li><strong>Grav\u00e1menes anteriores:<\/strong>\u00a0Retener todas las cantidades anuales u otros pagos, as\u00ed como los intereses de todas las cantidades principales, que tengan prioridad sobre la hipoteca en virtud de la cual act\u00faa como administrador judicial.\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"3\" class=\"wp-block-list\">\n<li><strong>Comisi\u00f3n y gastos del administrador judicial:<\/strong>\u00a0El pago de la comisi\u00f3n legal del administrador judicial, las primas de seguro y el coste de las reparaciones realizadas por orden del prestamista.\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"4\" class=\"wp-block-list\">\n<li><strong>Inter\u00e9s subordinado\/preferente:<\/strong>\u00a0El pago de los intereses devengados y vencidos sobre cualquier importe del principal adeudado en virtud de la hipoteca.\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"5\" class=\"wp-block-list\">\n<li><strong>Deuda principal:<\/strong>\u00a0Pago del importe principal adeudado en virtud de la hipoteca (la deuda puente de capital, incluidas las penalizaciones contractuales por incumplimiento).\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"6\" class=\"wp-block-list\">\n<li><strong>Residuo excedente:<\/strong>\u00a0El pago del saldo final, si lo hubiera, a la persona que, de no ser por la intervenci\u00f3n del administrador judicial, habr\u00eda tenido derecho a percibir los ingresos del inmueble hipotecado (por ejemplo, los titulares de cargas secundarias o el prestatario).\u00a0<\/li>\n<\/ol>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>6. Mitigaci\u00f3n de riesgos y medidas preventivas para los prestatarios<\/strong>&nbsp;<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>P: \u00bfQu\u00e9 v\u00edas legales puede seguir un prestatario para impugnar o impedir una administraci\u00f3n judicial?<\/strong>&nbsp;<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>R:<\/strong>&nbsp;Los prestatarios suelen presentar recursos en tres frentes jur\u00eddicos principales:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Medidas cautelares:<\/strong>\u00a0Solicitar una medida cautelar para impedir el nombramiento o la venta propuesta de activos. Para que prospere la solicitud, el prestatario debe cumplir los requisitos de\u00a0<em>American Cyanamid<\/em>\u00a0principios, demostrando que existe una cuesti\u00f3n de fondo que debe ser juzgada y que la indemnizaci\u00f3n por da\u00f1os y perjuicios no constituir\u00eda una reparaci\u00f3n adecuada.\u00a0\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Reclamaciones por incumplimiento de obligaciones:<\/strong>\u00a0Aunque los administradores concursales no tienen la obligaci\u00f3n general de actuar con diligencia para elegir el mejor momento posible para vender, s\u00ed tienen la obligaci\u00f3n equitativa de actuar de buena fe. Deben tomar\u00a0<strong>tomar las medidas razonables para obtener el mejor precio que sea razonablemente posible<\/strong>\u00a0en el momento de la venta. Si un administrador judicial se deshace de un activo mediante una venta precipitada sin una comercializaci\u00f3n adecuada, el prestatario podr\u00e1 presentar una reclamaci\u00f3n por la diferencia.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Moratorias por insolvencia:<\/strong>\u00a0Si el prestatario es una entidad jur\u00eddica que cumple los requisitos, la presentaci\u00f3n de\u00a0<strong>Administraci\u00f3n<\/strong>\u00a0en virtud del anexo B1 de la Ley de Insolvencia de 1986, se activa un procedimiento autom\u00e1tico y legal\u00a0<strong>moratoria<\/strong>.
